Governing Law, Jurisdiction and Disputes. This Agreement and the parties’ relationship under it will be interpreted under and governed by the laws of the applicable jurisdiction set forth in the Territory-Specific Terms (“Governing Law”), without regard to the choice or conflicts of law provisions of any jurisdiction. In the event of problems in the interpretation or execution of the present Agreement, the Parties shall make every effort to settle their differences amicably. In case of persistent disagreement that is not resolved within [***] following notification from the complaining Party, the competent courts of Paris, France shall have sole jurisdiction. Such excluded information is not material and would likely cause competitive harm to the registrant if publicly disclosed.

This Contract and any disputes or claims arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) are governed by, and construed in accordance with, the law of the country of incorporation of the Supplier. Any controversy or claim arising out of or relating to this agreement, or any breach thereof, shall be settled by arbitration in Bermuda in accordance with the American Arbitration Association, and judgment on the award rendered by the arbitrator(s) may be entered in Bermuda court.
