Good Standing/Licensing. Trustor is duly organized, ----------------------- validly existing and in good standing under the laws of its state of organization, is duly licensed or qualified to do business and is in good standing and is authorized to do business in every jurisdiction in which the nature of its businesses or properties makes such licensing or qualification necessary and where a failure to so qualify or be licensed would have a materially adverse effect on the business or operations of the Trustor, and is in compliance with all laws, regulations, ordinances and orders of public authorities applicable to Trustor. If Trustor is a corporation or partnership, the execution of the Note and the Loan Documents are within Trustor's corporate or partnership powers.

Good Standing/Licensing. Trustor is duly organized, ----------------------- validly existing and in good standing under the laws of its state of organization, is duly licensed or qualified to do business and is in good standing and is authorized to do business in every jurisdiction in which the nature of its businesses or properties makes such licensing or qualification necessary and where a failure to so qualify or be licensed would have a materially adverse effect on the business or operations of the Trustor, and is in compliance with all laws, regulations, ordinances and orders of public authorities applicable to Trustor; provided, however, that if Trustor is not in good standing, Trustor represents that it has not been suspended in its state of organization nor the State of California and that its failure to be in good standing does not affect its right and power to enter into the Note and Loan Documents and to consummate the transactions described therein. If Trustor is a corporation or partnership, the execution of the Note and the Loan Documents are within Trustor's corporate or partnership powers.
Good Standing/Licensing. Cambridge is a corporation duly organized, validly existing and in good standing under the laws of the state of its incorporation, has full power and authority to own, lease and operate its properties and assets, to perform its obligations under this Agreement, and to conduct its business as now being conducted, and is duly qualified or licensed to do business as a foreign corporation, and is in good standing, in all jurisdictions where the character of the properties it owns, leases or operates, the performance of its obligations under this Agreement or the conduct of its business, requires such qualification or licensing. Cambridge is duly licensed as a claims adjuster in every jurisdiction where the conduct of its business requires such licensing.

To the knowledge of the executive officers of Kimco, Kimco and its Subsidiaries have obtained all licenses, permits and other authorizations and have taken all actions required by applicable law or governmental regulations in connection with their business as now conducted, where the failure to obtain any such item or to take any such action would have a Kimco Material Adverse Effect. True and correct copies of Kimco's and its Subsidiaries' charter, bylaws, organization documents, and partnership and joint venture agreements have been previously delivered or made available to Price REIT.
