Full Access and Consultation. The Seller will permit representatives of the Buyers to have full access at all reasonable times, and in a manner so as not to interfere with the normal business operations of the Stations, to all premises, properties, books, records, contracts, Tax records, and documents of or pertaining to the Seller. The Seller will consult with the Buyers' management with a view to informing Buyers' management as to the operations, management and business of the Stations.

Without limiting the foregoing, the parties acknowledge and agree that no investigation of the Station or the Seller's business by Buyer shall create any obligation on the part of Seller or shall limit the Buyers' obligations under this Agreement, except to the extent that Buyer discovers circumstances which constitute a breach of a representation, warranty or covenant of Seller made in this Agreement, or the failure of any such representation or warranty to be true and correct in all material respects.

Without limiting the foregoing, Seller acknowledges and agrees that it will provide the Buyers and its representatives with such access to the properties, books, records, documents and operations of the Seller as contemplated herein in a manner which will permit the Buyers to fully complete its due diligence review within the thirty (30) day period referenced in Section 5(a)(ix), below.
