No Partnership or Joint Venture Created. Nothing in this Agreement shall be construed to make the Permittee and Manager partners or part of a joint venture or to vest any rights in any third party.

Nothing in this Agreement will be construed to make Licensee and Programmer partners or joint venturers or to afford any rights to any third party other than as expressly provided herein. Neither Licensee nor Programmer will have any authority to act as an agent for, or to enter into any contracts on behalf of or that will be binding upon the other party.

No Partnership or Joint Venture Created. The parties acknowledge and agree that this Agreement does not create a partnership between, or a joint venture of, UTILITY and Licensee. UTILITY and Licensee are each independent contractors and nothing contained in this Agreement shall be construed to constitute either party an agent of the other.

It is expressly understood that the City shall not be construed or held to be a partner or joint venture of Lessee in the conduct of the Lessee’s activities or business on the Premises. The relationship between the City and the Lessee is, and shall at all times remain, strictly that of landlord and tenant, respectively.
