Expenses of Escrow Agent. Except as set forth in Section 11 the Company shall reimburse Escrow Agent for all of its reasonable out-of-pocket expenses, including attorneys' fees, travel expenses, telephone and facsimile transmission costs, postage (including express mail and overnight delivery charges), copying charges and the like. All of the compensation and reimbursement obligations set forth in this Section shall be payable by the Company, upon demand by Escrow Agent. The obligations of the Company under this Section shall survive any termination of this Agreement and the resignation or removal of Escrow Agent.
Expenses of Escrow Agent. Expenses of Escrow Agent. Escrow Agent does not anticipate any expenses other than hard costs as described above. In the event Escrow Agent does incur any expenses, Client agrees to promptly reimburse Escrow Agent for its actual costs incurred.
Expenses of Escrow Agent. If it is necessary for the Escrow Agent to return funds to the purchasers of the Securities, the Company shall pay to the Escrow Agent an amount sufficient to reimburse it for its actual cost in disbursing such funds. However, no such fee, reimbursement for costs and expenses indemnification for any damages incurred by the Escrow Agent, or any monies whatsoever shall be paid out of, or be chargeable to, the funds on deposit in the Escrow Account.
Expenses of Escrow Agent. Expenses of Escrow Agent. In the event that the conditions of this Agreement are not promptly fulfilled, or if Escrow Agent renders any service not provided for in this Agreement, or if the Parties request a substantial modification of its terms, or if any controversy arises, or if Escrow Agent is made a Party to, or intervenes in, any litigation pertaining to this Agreement or its subject matter, Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all costs, attorney's fees, including allocated costs of in-house counsel, and expenses occasioned by such default, delay, controversy or litigation and Escrow Agent shall have the right to retain all documents and/or other things of value at any time held by Escrow Agent in this escrow until such compensation, fees, costs, and expenses are paid. The Parties jointly and severally promise to pay these sums upon demand.
Expenses of Escrow Agent. All of the compensation and reimbursement obligations set forth in this Section shall be payable by the Buyers, upon demand by Escrow Agent. The obligations of the Buyers under this Section shall survive any termination of this Agreement and the resignation or removal of Escrow Agent.
Expenses of Escrow Agent. Except as set forth in Section 11 the --------------------------- Investor shall reimburse Escrow Agent for all of its reasonable out-of-pocket expenses, including attorneys' fees, travel expenses, telephone and facsimile transmission costs, postage (including express mail and overnight delivery charges), copying charges and the like. All of the compensation and reimbursement obligations set forth in this Section shall be payable by the Investor, upon demand by Escrow Agent. The obligations of the Investor under this Section shall survive any termination of this Agreement and the resignation or removal of Escrow Agent.
Expenses of Escrow Agent. Escrow Agent’s expenses and fees shall be deducted from any interest accrued on the Escrow Deposit prior to the distribution of such accrued interest to the Company in accordance with this Section 8. Any expenses and fees of Escrow Agent in excess of the accrued interest, up to a maximum of Five Thousand Dollars ($5,000) on the Escrow Deposit shall be the responsibility of the Company and shall be paid promptly upon receipt of an invoice from Escrow Agent.
Expenses of Escrow Agent. The Escrow Agent shall be entitled to reimbursement of its reasonable out-of-pocket expenses for carrying out its duties hereunder, including any costs incurred as a result of the Escrow Agent becoming involved in any litigation, arbitration or court proceeding in its capacity as escrow agent hereunder, including pursuant to Section 4.1 hereof. Endeavour, on the one hand, and AuRico, on the other hand, shall be equally liable for such expenses.
