Executive Board of Directors. The Executive Board of Directors (hereinafter “ExecBoard”) is in charge of organizing and coordinating the activities of ECTP within and between the various Purpose Vehicles, including any specific mission assigned to it by the Supervisory Council. The ExecBoard gathers representatives (typically leaders/directors) of the Purpose Vehicles. The ExecBoard is steered and chaired by the ECTP Chairman (or his/her designated representative such as the Secretary General (or Director)). The Purpose Vehicles report to the ExecBoard on their activities and own strategies in total transparency, in order to ensure that the global strategy and activities of ECTP are carried out in good coordination and in order to implement the annual plan and the decisions of the Supervisory Council. In case of disagreement between decisions of the ExecBoard and a PV, the issue is transferred to the Supervisory Council. The ExecBoard may set up Working Groups as needed under the approval of the Supervisory Board.

Executive Board of Directors. The alliance will be governed by an Executive Board of Directors comprised of eight (8) members. Four (4) members will be appointed by AMD with the approval of Motorola and the other four (4) members will be appointed by Motorola with the approval of AMD.
Executive Board of Directors. From the members of the SEDOM Governing Board of Directors, from the members of the participating district boards of education, or from the Superintendents of Schools of the member districts, there shall be chosen an Executive Board consisting of seven (7) members, at least two (2) of these from high school or unit districts, at least two (2) of these from elementary school districts, and at least one (1) board of education member. Unless the Board of Directors provides otherwise, each committee designated by the Board of Directors may make, alter and repeal rules and procedures for the conduct of its business. In the absence of such rules and procedures each committee shall conduct its business in the same manner as the Board of Directors conducts its business pursuant to this Article III.

  • Board of Directors Meetings The Company shall use its best efforts to ensure that meetings of its Board of Directors are held at least four times each year and at least once each quarter.
