Equipment and Other Personal Property Leases. All of Seller's right, title and interest in, to and under the leases and rental agreements in respect of equipment or other tangible personal property employed in Seller's operation of the Business as of the close of business on the Closing Date, including, without limitation, those leases and agreements described in Schedule 2.1.2 (the "Leased Personal Property").
Equipment and Other Personal Property Leases. All of the material items of equipment and personal property leased by the Company or any of its subsidiaries from any third party is currently used by the Company and/or one or more of its subsidiaries in the ordinary course of their businesses. All leases in effect as of the date of this Agreement pursuant to which the Company leases material items of equipment or other material items of personal property are valid, subsisting and in full force and effect, and neither the Company nor any other party thereto is in default of any of its obligations under any of such leases, except for defaults and failures to be valid, subsisting and in full force and effect which would not have a material adverse effect on the Company. No consent to the consummation of the transactions contemplated by this Agreement is required from the lessors under such leases except for any such consent the failure to obtain which would not have a material adverse effect on the Company.
Equipment and Other Personal Property Leases. All of Seller's right, title and interest in, to and under the leases and rental agreements in respect of equipment or other tangible personal property employed primarily or exclusively in Seller's operation of the Business as of the close of business on the Closing Date, including, without limitation, those leases and agreements described in SCHEDULE 2.1.4 of the Disclosure Schedule.
Equipment and Other Personal Property Leases. Schedule 3.12 hereto sets forth a correct and complete list of all personal property leases to which the Company is a party, other than items acquired by the Company in the ordinary course of business from the date hereof through the Closing Date. Except as disclosed in Schedule 3.12 hereto, all of the personal property leased by the Company is currently used by the Company in the ordinary course of its business. Seller has delivered to Buyer correct and complete copies of all personal property leases identified on Schedule 3.12.
Equipment and Other Personal Property Leases. Schedule 4.8 hereto sets forth a correct and complete list of all personal property leases of Buyer which relate solely to the Port Inland Quarry, other than items acquired by Buyer in the ordinary course of business from the date hereof through the Closing Date. Except as disclosed in Schedule 4.8 hereto, all of the personal property leased by Buyer in connection with the Port Inland Quarry is currently used by the Port Inland Quarry in the ordinary course of its business. Buyer has delivered to Sellers correct and complete copies of all personal property leases identified on Schedule 4.8.
Equipment and Other Personal Property Leases. The leases and rental agreements in respect of equipment or other tangible personal property employed in the Business, including, without limitation, those leases and agreements described in Schedule 2.1(c);

Equipment and Other Personal Property Leases. Schedule 1.1(b) hereto sets forth a correct and complete list of all of the Equipment. The Equipment and Other Personal Property Leases listed in Schedule 1.2(b) hereto include all leases by Seller of any item of personal property used by Seller in connection with the operation of the Business. Except as set forth in Schedule 4.6 hereto, all of the equipment and personal property leased by Seller under the Equipment and Other Personal Property Leases is currently used by Seller in the ordinary course of the Business. Seller has delivered to Buyer correct and complete copies of all Equipment and Other Personal Property Leases. The Equipment and Other Personal Property Leases are valid, subsisting and in full force and effect, and neither Seller nor, to the knowledge of Seller after reasonable inquiry any other party thereto, is in default of any of its obligations under any of such leases. Except as set forth in Schedule 4.6, no consent to the consummation of the transactions contemplated by this Agreement is required from the lessors of any of the Equipment or Other Personal Property.
