Documentation/Due Execution. Each loan file for each Loan (which may be electronic) contains the credit agreement, all underwriting documents, all collection notes, and all formal correspondence and notices and shall otherwise contain all such information and documentation as required under applicable Laws for the Lender to fund and maintain a given Loan made hereunder. In addition to the loan files, Servicer will maintain proof of the delivery and content of any required disclosures under applicable Law for a Loan. Such loan files shall be maintained by the Servicer in a manner consistent with these practices of a prudent lending institution. Servicer warrants that the credit agreement and all other instruments that evidence any Loan have been duly executed by the applicable Borrower with respect thereto. Further, for each Loan assigned to or from Lender, Servicer shall provide appropriate documentation of such assignment on a monthly basis.
