DIRECTION OF RESEARCH AND DEVELOPMENT. 3.1 The Directors shall appoint a management committee (the "MANAGEMENT COMMITTEE") to perform certain operational functions, such delegation to be consistent with the Directors' right to delegate powers pursuant to the Company's Certificate of Incorporation. The Management Committee shall initially consist of four members, two of whom shall be nominated by the Elan Director and two of whom shall be nominated by the Endorex Director, and each of whom shall be entitled to one vote, whether or not present at any Management Committee meeting during which such operational functions are discussed. Each of the Elan Director and the Endorex Director shall be entitled to remove any of their nominees to the Management Committee and appoint a replacement in place of any nominees so removed. The number of members of the Management Committee may be altered if agreed to by the Directors; provided that at all times during the term of this Agreement, each of the Elan Director and the Endorex Director shall be entitled to appoint an equal number of members to the Management Committee.
