Delivery of Guarantee. The delivery of any Security of a series by the Trustee, after the authentication thereof hereunder, shall constitute due delivery of the Guarantee set forth in Section 1601 on behalf of each Guarantor for that series.
Delivery of Guarantee. The execution by each Guarantor of this Indenture (or a Supplemental Indenture) evidences the Note Guarantee of such Guarantor, whether or not the person signing as an officer of the Guarantor still holds that office at the time of authentication of any Note. The delivery of any Note by the Trustee after authentication constitutes due delivery of the Note Guarantee set forth in this Indenture on behalf of each Guarantor.
Delivery of Guarantee. (a) To evidence its guarantee set forth in Section 12.01, each Guarantor hereby agrees that the Securities shall bear a notation stating that such Securities are guaranteed by the Guarantors in accordance with this Article 12 and may be released upon the terms and conditions set forth in this Indenture.
Delivery of Guarantee. The delivery of any Security of a series by the Trustee, after the authentication thereof hereunder, shall constitute due delivery of the Guarantee set forth in Section 12.1 on behalf of each Guarantor for that series. * * * * This instrument may be executed in any number of counterparts, each of which so executed shall be deemed to be an original, but all such counterparts shall together constitute one and the same instrument. The exchange of copies of this Indenture and of signature pages by facsimile or electronic transmission (in “.pdf” or other format) shall constitute effective execution and delivery of this Indenture as to the parties hereto and may be used in lieu of the original Indenture for all purposes. Signatures of the parties hereto transmitted by facsimile or electronically (in “.pdf” or other format) shall be deemed to be their original signatures for all purposes. Delivery of Guarantee. The Administrative Agent shall have received the Kingsway America Guarantee duly executed by Kingsway America and in form and substance satisfactory to the Administrative Agent, the Lenders and their counsel.
Delivery of Guarantee. Subject to the terms of this Agreement: (a) the Issuing Bank will execute the Guarantee prior to or on (but to be effective from) the date requested in the Request as the Issue Date; and (b) the Issuing Bank shall (through the Agent) issue the Guarantee on the Issue Date.
Delivery of Guarantee. To evidence its guarantee provided in Section 17.01, the Guarantor hereby agrees to the Guarantee, to be endorsed on each Security authenticated and delivered by the Trustee. The delivery of any Security by the Trustee, after the authentication thereof hereunder, shall constitute due delivery of the Guarantee endorsed thereon on behalf of the Guarantor. The Guarantor hereby agrees that its Guarantee set forth in Section 17.01 shall remain in full force and effect notwithstanding any failure to endorse on each Security a notation of such Guarantee. Trustee hereby accepts the trusts in this Indenture declared and provided, upon the terms and conditions hereinabove set forth.
