Covenants of the Sellers and the Company. From the date of this Agreement and until the Closing Date, the Sellers and the Company covenant the following:

The Sellers covenant and agree with Purchaser that, at all times from and after the date hereof until the Closing, the Sellers and the Company will comply with all applicable covenants and provisions of this ARTICLE V, except to the extent Purchaser may otherwise consent in writing.

Each Seller and the Company covenants and agrees with Purchaser that, at all times from the date hereof until the earlier of the Closing or the termination of this Agreement in accordance with Article XI, it will comply, and the Company will cause the other Bufoxx Xxxpanies to comply, with all covenants and provisions of this Article VI, except to the extent (i) Purchaser may otherwise consent in writing (which consent will not be unreasonably withheld or delayed), (ii) otherwise required by applicable Law, or (iii) otherwise required or permitted by this Agreement.
