Consents; Compliance with Law. Your rights in respect of the RSUs are conditioned on the receipt to the full satisfaction of the Committee of any required consents that the Committee may determine to be necessary or advisable (including your consenting to the Company’s supplying to any third-party recordkeeper of the Plan such personal information as the Committee deems advisable to administer the Plan) and, in accordance with Section 9(l) of the Plan, subject to the Committee’s determination that the issuance of Shares pursuant to this Award Agreement is compliant with applicable law.
Consents; Compliance with Law. All necessary governmental and material third party approvals and/or consents in connection with the Transaction, the transactions contemplated by this Agreement and otherwise referred to herein shall have been obtained and remain in effect. The execution of the Loan Documents, the execution of the Huntsman Acquisition Agreement, the issuance of the Letter of Credit and the consummation of the transactions contemplated thereby (including the Transaction) shall not violate or conflict with any law, rule or regulation or any material agreement, contract or other obligation binding upon or affecting the property of Company or any of its Subsidiaries or the property acquired pursuant to the Huntsman Acquisition Agreement. All Loans hereunder shall be in full compliance with all applicable requirements, including, to the extent applicable, the rules and regulations of the Board of Governors of the Federal Reserve System.;

Purchaser shall provide such financial and other information as shall be reasonably requested by landlords under the Branch Leases and ATM Lease Agreements and in connection with obtaining landlords' consents to the Lease Agreements. Notwithstanding anything to the contrary contained herein, Purchaser agrees that the form of Landlord Consent with respect to a Branch Lease or an ATM Lease Agreement and in connection with the Lease Agreements, may be modified at the request of a landlord to incorporate any and all conditions, terms and agreements such landlord may require with respect to such landlord's required consent to the assignment of such Branch Lease or ATM Lease Agreement to Purchaser; provided that such conditions, terms and agreements do not constitute a material or monetary modification or alteration of the terms, covenants and conditions of such Branch Lease or ATM Lease Agreement or to the respective Seller's lease of those premises which will be subleased to Purchaser pursuant to the Lease Agreements or otherwise impose any material burden on Sellers or Purchaser not otherwise contemplated by such Branch Lease or ATM Lease Agreement or by the Lease Agreements.

Your rights in respect of the PSUs are conditioned on the receipt to the full satisfaction of the Committee of any required consents that the Committee may determine to be necessary or advisable (including your consenting to the Company’s supplying to any third-party recordkeeper of the Plan such personal information as the Committee deems advisable to administer the Plan) and, in accordance with Section 9(l) of the Plan, subject to the Committee’s determination that the issuance of Shares pursuant to this Award Agreement is compliant with the Company’s Privacy Policy and applicable law.
Consents; Compliance with Law. (a) Company holds Consents from the Governmental Agencies listed in SCHEDULE 2.13. These Consents are valid and unimpaired, are being transferred to Buyer by this Agreement, are not affected by the Transactions, and constitute all the Consents required for the ownership or occupancy of the Company's assets and the operation of the Business. Company has not entered into any agreement with, had any material dispute with, or, been investigated by, any Governmental Agency, community group, or other third Party.
Consents; Compliance with Law. Except as provided in the Transaction Agreements, no authorization, consent, approval or other order of, or declaration to or filing with, any governmental agency, authority or body or other Person is required for the valid authorization, execution, delivery and performance by the Purchaser of each of the Transaction Agreements and the consummation by the Purchaser of the transactions contemplated hereby or thereby. Assuming the accuracy of the representations and warranties of the Seller set forth in Section 2, the Purchaser hereby represents and warrants that the sale and purchase of the Purchased Securities pursuant to this Agreement is being made in compliance with all laws and regulations (including applicable securities laws) applicable to the Purchaser.
