Financial and Other Information definition

Financial and Other Information means, with respect to each Collateral Obligation, all reports, written financial information, requests for amendments, waivers, supplements or other similar requests and other written information made available by or on behalf of the related obligors or any administrative agents or servicers (or analogous representatives) to lenders under the related Underlying Instruments.
Financial and Other Information. The Borrower shall provide to the Bank a copy, when executed, of any agreement for the sale of the consulting business of HTR, Inc. and shall provide to the Bank a copy, when executed, of any written agreement modifying, restructuring, or extending the Borrower's debt to Teletutor.
Financial and Other Information means, solely to the extent required to (i) prepare a registration statement on Form S-1, (ii) to meet any other form requirement of the Securities and Exchange Commission or (iii) prepare an offering memorandum for the sale of debt securities in a Rule 144A and Regulation S private placement, such historical financial and other information, relating to the Business as is reasonably necessary for the Buyer and its Subsidiaries (including the Companies) and their respective Representatives to prepare historical financial statements (including audited financial statements prepared in accordance with GAAP audited to the standards of the Public Company Accounting Oversight Board) and related financial reports, notes and/or narrative disclosures that relate to Buyer, the Company and the Business, for up to the three (3) full fiscal years preceding the Closing, and for any subsequent interim period for the fiscal year in which the Closing occurs and the corresponding interim period in the immediately preceding fiscal year, which may include stand-alone financial statements and other financial and related narrative information (including a management’s discussion and analysis of financial condition and results of operations) of the Business for one or more of such periods.

  • Other Information has the meaning assigned to such term in Section 3.11(b).

  • Financial Information means information regarding finances, including, but not limited to, assets, income, liabilities, net worth, bank balances, financial history or activities, or creditworthiness.

  • Information has the meaning specified in Section 10.07.

  • Security Information means account numbers and/or Username as applicable, passwords and other information required to identify you for the purposes of you trading with us under this Agreement.

  • Information Provider means the person or organisation providing the Information under this licence.

  • Supporting information means the experience and judgment of the filer and the experience or data of other insurers or advisory organizations relied upon by the filer, the interpretation of any other data relied upon by the filer, descriptions of methods used in making the rates, and any other information required by the commissioner to be filed.90 Acts, ch 1234, §46

  • Annual Financial Information means annual financial information as such term is used in paragraph (b)(5)(i) of the Rule and specified in Section 3(a) of this Disclosure Agreement.
