Conflict; Ratification. Insofar as the specific terms and provisions of this Amendment purport to amend or modify or are in conflict with the specific terms, provisions and exhibits of the Lease, the terms and provisions of this Amendment shall govern and control. Landlord and Tenant hereby agree that (a) this Amendment is incorporated into and made a part of the Lease, (b) any and all references to the Lease hereinafter shall include this Amendment, and (c) the Lease, and all terms, conditions and provisions of the Lease, are in full force and effect as of the date hereof, except as expressly modified and amended hereinabove.
Conflict; Ratification. The Corporation and the Lenders acknowledge and agree that the Debentures as modified by the First Addendum and the Second Addendum are in full force and effect and binding upon the Corporation and the Lenders according to the terms thereof without modification, except as specifically modified by this Third Addendum. Except as specifically modified hereby, all covenants, terms, obligations and conditions of the Debentures as modified by the First Addendum and the Second Addendum are hereby ratified and confirmed. In the event of a conflict between this Third Addendum and the Debentures as modified by First Addendum and the Second Addendum, then this Third Addendum shall control.
Conflict; Ratification. In the event of any conflict between the Lease and this Third Amendment, the terms of this Third Amendment shall prevail. Except as modified by this Third Amendment, the Lease is hereby ratified and confirmed and remains in full force and effect.
Conflict; Ratification. To the extent that there is any conflict between the terms of this Amendment and the Agreement, the terms of this Agreement shall control. Except to the extent amended hereby, Seller and Purchaser ratify and confirm that all other terms and conditions of the Agreement remain in full force and effect.
Conflict; Ratification. In the event of a conflict or inconsistency between the provisions of this Amendment and the Employment Agreement, the provisions of this Amendment shall control and govern. As modified by this Amendment, the Employment Agreement is ratified and remains in full force and effect in accordance with its terms. The execution, delivery and performance of this Amendment shall not, except as expressly provided herein, constitute a waiver of any provision of, or operate as a waiver of any right, power or remedy of the parties under the Employment Agreement.
Conflict; Ratification. In the event of any conflict between the terms of this Amendment and the terms of the Agreement, the terms of this Amendment shall control. Except as expressly provided in this Amendment, all of the terms and provisions of the Agreement are and will remain in full force and effect and are hereby ratified and confirmed by the parties hereto.
Conflict; Ratification. In the event any of the terms of the Lease conflict with the terms of this Third Amendment, the terms of this Third Amendment shall control. Except as amended hereby, all terms and conditions of the Lease shall remain in full force and effect. Tenant hereby ratifies and confirms its obligations under the Lease, and represents and warrants to Landlord that it has no defenses thereto. Additionally, Tenant further confirms and ratifies that, as of the date hereof, (a) the Lease is and remains in good standing and in full force and effect, (b) Tenant has no claims, counterclaims, set-offs or defenses against Landlord arising out of the Lease or in any way relating thereto or arising out of any other transaction between Landlord and Tenant, and (c) except as expressly provided for in this Third Amendment, all tenant finish-work allowances provided to Tenant under the Lease or otherwise, if any, have been paid in full by Landlord to Tenant, and Landlord has no further obligations with respect thereto. The Lease, as amended herein, constitutes the entire agreement between the parties hereto and no further modification of the Lease shall be binding unless evidenced by an agreement in writing signed by Landlord and Tenant.
Conflict; Ratification. Except as specifically set forth in this Amendment, the parties hereby acknowledge and agree that the Lease is unmodified and in full force and effect, and further hereby ratify, affirm, and confirm the Lease as amended by this Amendment. In the event of a conflict between the terms of this Amendment and the terms of the Lease, the terms of this Amendment shall control. From and after the date of this Agreement, the term “Lease” shall be deemed to mean and include the Lease as amended by this Amendment. 10.
Conflict; Ratification. To the extent of any conflict or inconsistency between the terms and conditions of this Third Amendment, and the terms and conditions of the Existing Standstill Agreement or the terms and conditions of the Existing Credit Agreement, the terms and conditions of this Third Amendment shall govern and control. Except to the extent otherwise expressly modified hereby, the terms and conditions of both the Existing Standstill Agreement and the Existing Credit Agreement shall remain unchanged and of full force and effect and are hereby ratified by the undersigned parties.
Conflict; Ratification. To the extent of any conflict or inconsistency between the terms and conditions of this Fifth Amendment, and the terms and conditions of the Existing Standstill Agreement or the terms and conditions of the Existing Credit Agreement, the terms and conditions of this Fifth Amendment shall govern and control. Except to the extent otherwise expressly modified hereby, the terms and conditions of both the Existing Standstill Agreement and the Existing Credit Agreement shall remain unchanged and of full force and effect and are hereby ratified by the undersigned parties.
