Confidential Information and Inventions Assignment Agreement. The Executive has executed and delivered the Company’s standard Employee Confidential Information and Inventions Assignment Agreement or similar agreement and the Executive represents and warrants that the Executive shall continue to be bound and abide by such Employee Confidential Information and Inventions Assignment Agreement or similar agreement.
Confidential Information and Inventions Assignment Agreement. You will continue to be bound by the Confidential Information and Inventions Assignment Agreement dated May 8, 2015 between you and the Company.
Confidential Information and Inventions Assignment Agreement. Confidential Information and Invention Assignment Agreement This Confidential Information and Invention Disclosure Agreement (the “Agreement”), dated May 1, 2018 (the “Effective Date”) is between Angion Biomedica Corp. and its affiliates (collectively, the “Company”) and Xxxxxx Xxxxxxxx (“Employee”). Employee enters this Agreement in consideration of Employee’s employment or continued employment and the compensation now and later paid to Employee during his or her employment with the Company, and the Company’s agreement to provide Employee with access to its Confidential Information. Accordingly, the parties agree as follows:
Confidential Information and Inventions Assignment Agreement. You acknowledge your continuing obligations under your Proprietary Information and Inventions Agreement (attached hereto as Exhibit F), both during and after your employment.
Confidential Information and Inventions Assignment Agreement. The Executive shall continue to remain subject to the terms and conditions of the Employee Confidential Information and Inventions Assignment Agreement with the Company dated as of December 22, 2006 (the “CIIA”) throughout the Employment Period and thereafter, in accordance with its terms. A copy of such agreement is attached hereto as Exhibit A.
Confidential Information and Inventions Assignment Agreement. The Company hereby covenants that it shall immediately following Closing, use it best efforts to have each current employee and officer and consultant of the Company, each future employee and officer and consultant of the Company, and each past current employee and officer and consultant of the Company, enter into a confidential information and inventions assignment agreement in a form acceptable to the Investor.
Confidential Information and Inventions Assignment Agreement. Executive agrees, as a condition of employment, to execute and deliver to the Company such confidentiality, nondisclosure, conflict of interest or other agreements and disclosures as the Company may require of its employees generally under its current policies, including the Confidential Information and Inventions Assignment Agreement (the “Confidential Information Agreement”), as attached hereto as Exhibit A and incorporated by reference herein. Executive acknowledges and agrees that the compensation provided to Executive hereunder is provided, in part, as consideration for his agreement to the Confidential Information Agreement.
Confidential Information and Inventions Assignment Agreement. Employee specifically reaffirms that Employee will continue to abide by the provisions, restrictions and non-solicitation agreement set for in the Confidential Information and Inventions Assignment Agreement signed by the Employee and with which Employee is familiar. The Confidential Information and Inventions Assignment Agreement remains in full force and effect, and nothing in this Agreement is intended to supersede that agreement.
Confidential Information and Inventions Assignment Agreement. In the event you fail to comply with your continuing obligations under your Confidential Information and Inventions Assignment Agreement attached hereto as Exhibit B, including but not limited to the obligations described at Section 11, you agree that, in addition to any other available remedies, the Company reserves the right to cancel or require reimbursement of any or all of the benefits provided to you under this Agreement.
Confidential Information and Inventions Assignment Agreement. You acknowledge and agree that you will continue to be bound by the Inventions Agreement.
