Compliance with FCC Requirements. The Stations will be operated in conformity with the FCC Authorizations, the Communications Act and the rules and regulations of the Commission. The Licensee will take all steps necessary or appropriate to ensure that the FCC Authorizations will at all times remain in full force and effect.
Compliance with FCC Requirements. The Stations will be operated in conformity with the FCC Authorizations, the Communications Act and the rules and regulations of the Commission. The Licensee will take all steps necessary or appropriate to ensure that the FCC Authorizations will at all times remain in full force and effect. Without limiting the foregoing, Licensee will prosecute the pending renewal application of the Stations to a favorable conclusion, i.e., the grant of the application for renewal of the FCC Authorizations. In the event of an unfavorable decision by the FCC (including any administrative law judge and the FCC's review board) or any court, Licensee will take all steps necessary or appropriate to protect its rights and to obtain a favorable decision through agency review and/or subsequent judicial review by the United States Court of Appeals for the District of Columbia Circuit. Licensee will not be obligated to seek a writ of certiorari from the United States Supreme Court.
Compliance with FCC Requirements. Except as set forth on SCHEDULE 4.17, the Station, its physical facilities, electrical and mechanical systems and transmitting and studio equipment, including, but not limited to all of the Station's transmitting towers, are being, and to Company's and Seller's Knowledge with respect to periods prior to the Fort Xxxxx Closing Date, have been operated in all material respects in accordance with the specifications of the Licenses and with each document submitted in support of such Licenses, and Seller, Company, the Subsidiaries and the Station are in compliance with the Communications Laws. Except as set forth on SCHEDULE 4.17, the Station is in compliance with all requirements of the FCC and the Federal Aviation Administration with respect to the construction and/or alteration of the Station's antenna structures, and, where required, "no hazard" determinations for each antenna structure have been obtained, and where required, each antenna structure has been registered with the FCC. Except as set forth on SCHEDULE 4.17, since the Fort Xxxxx Closing Date, and, to Company's and Seller's Knowledge, prior to such date, all obligations, reports and other filings required by the FCC with respect to the Station, including, without limitation, all regulatory fee payments and all materials required to be placed in the Station's public inspection file, have been duly and currently filed as of the date hereof, and are true and complete in all respects. Except as set forth on SCHEDULE 4.17, there is not now issued or outstanding, or pending or, to Company's and Seller's Knowledge, threatened, by or before the FCC, any order to show cause, notice of violation, notice of apparent liability, or notice of forfeiture or complaint relating to the Station.

Compliance with FCC Requirements. Seller, its physical facilities, electrical and mechanical systems and transmitting equipment are being and have been operated in all material respects in accordance with the specifications of the applicable Licenses (as hereinafter defined) and with each document submitted in support of such Licenses, and Seller is in full compliance in all material respects with all requirements, policies, rules and regulations of the FCC (as hereinafter defined), except in each case where the failure to be so in compliance would not have a material adverse effect on the business or financial condition of Seller. There is not currently pending or, to the knowledge of Seller, threatened, any proceeding, complaint or investigation before the FCC relating to Seller. For purposes of this Agreement, "FCC" shall mean the Federal Communications Commission and "Licenses" shall mean those permits, licenses, franchises and other authorizations necessary for Seller to conduct its business as it is presently being conducted.

Except as set forth on Schedule 4.16, no cable television system has notified Sellers of any signal quality deficiency or copyright indemnity or other prerequisite to cable carriage of the Station's signal, and no cable television system has notified Sellers that it has declined or threatened to decline such carriage or failed to respond to a request for carriage or sought any form of relief from carriage from the FCC. To the Knowledge of Sellers, the Station's main transmitting tower (which is designated Tower #19 and owned by SpectraSite) located at 0000 Xxxx Xxxxxxxxxx Xxxxxx, Xxxxxx, Xxxxxxxx (i) has the structural capacity to hold, or (ii) is otherwise suitable for, additional DTV antennae and other equipment necessary for satisfying the FCC's minimum DTV operating requirements for the Station.
