Company’s Release. Company hereby releases University and its regents, officers, employees, and agents forever from any and all suits, actions, claims, liabilities, demands, damages, losses, or expenses (including reasonable attorneys’ and investigative expenses) relating to or arising out of (a) the manufacture, use, lease, sale, or other disposition of a Licensed Product; or (b) the assigning or sublicensing of Company’s rights under this Agreement.
Company’s Release. TO ALL TO WHOM THESE PRESENTS SHALL COME OR MAY CONCERN, KNOW THAT, for and in consideration of the obligations upon the Releasor as set forth in the Agreement, and for other good and valuable consideration, the Company hereby (on its own behalf and that of its affiliates, divisions and predecessors and successors and the directors and officers of the Company in their capacity as such (collectively, the “Releasing Entities”)) releases the Releasor and his heirs, executors, successors and assigns (the “Executive Released Parties”) of and from all debts, obligations, promises, covenants, collective bargaining obligations, agreements, contracts, endorsements, bonds, controversies, suits, claims or causes of every kind and nature whatsoever, arising out of, or related to, his employment with the Company and its affiliates, his separation from employment with the Company and its affiliates or derivative of the Releasor’s employment, which the Releasing Entities now have or may have against the Executive Released Parties, whether known or unknown, by reason of facts which have occurred on or prior to the date that the Company has signed this Release; provided, however, that nothing contained in this Release shall release the Executive Released Parties from any claim or form of liability arising out of acts or omissions by the Releasor which constitute a violation of the criminal or securities laws of any applicable jurisdiction or for which the Releasor would not be indemnified under applicable law. Notwithstanding anything else herein to the contrary, this Release shall not affect the obligations of the Releasor set forth in the Agreement or any other obligations that by their terms are to be performed after the date hereof by the Releasor.
Company’s Release. The Company, on its own behalf and on behalf of its predecessors, parents, subsidiaries, affiliates, members, general partners, limited partners, representatives and assigns, hereby generally releases and discharges the Executive and his heirs, assigns, executors, agents and representatives from any and all suits, causes of action, complaints, obligations, demands, common law or statutory claims of any kind, whether in law or in equity, direct or indirect, known or unknown, which they ever had or now have against the Executive arising out of or relating to his employment with the Company occurring up to and including the date of this Release. Notwithstanding any other provision of this Release, the Company does not waive or release any claims against the Executive based on or arising out of conduct or circumstances for which the Executive could have been terminated for Cause (as defined in the Employment Agreement).
Company’s Release. The Company hereby forever releases, remises and discharges the Executive of and from, and covenants not to sxx the Executive with respect to, any and all claims, causes of action, suits, debts, sums of money, controversies, agreements, promises, damages and demands whatsoever, known or unknown, in law, in equity or otherwise, which the Company has or may have arising out of any act occurring on or before the date hereof, except with respect to any act of misappropriation, theft or fraud against the Company which has not been alleged by or presented to the whole Board of Directors prior to the date hereof. Nothing in this release shall affect the rights or obligations of the parties under this Agreement.
Company’s Release. Company hereby releases University, Cambridge, and their regents, employees, and agents forever from any and all suits, actions, claims, liabilities, demands, damages, losses or expenses (including reasonable attorneys’ and investigative expenses) relating to or arising out of [***].”
Company’s Release. Company hereby releases University, IRB, and their regents, officers, employees, and agents forever from any and all suits, actions, claims, liabilities, demands, damages, losses, or expenses (including reasonable attorneys’ and investigative expenses) relating to or arising out of (a) the manufacture, use, lease, sale, or other disposition of a Licensed Product; or (b) the assigning or sublicensing of Company’s rights under this Agreement.
Company’s Release. Subject to the proviso below in this Article 10, for itself and its employees, Company hereby releases University and FHCRC and their regents, employees, students and agents forever from any suits, actions, claims, liabilities, demands, damages, losses, or expenses (including reasonable attorneys’ and investigative expenses and collectively, “Losses”) relating to or arising out of (i) the manufacture, use, lease, sale, or other disposition of a Licensed Product to the extent such Losses arise from or result from Company’s exercise of the license granted in Section 3.1; or (ii) the assigning or sublicensing of Company’s rights under this Agreement; provided, however that notwithstanding anything to the contrary in this Article 10, the Company shall not release University and/or FHCRC and/or their regents, employees, students and agents forever from any suits, actions, claims, liabilities, demands, damages, losses, or expenses (including reasonable attorneys’ and investigative expenses) relating to or arising out of the negligence or willful misconduct by the University and/or FHCRC and/or their respective regents, employees, students and agents.
Company’s Release. For itself and its employees, Company hereby releases HSI and its directors, officers, employees, and agents forever from any suits, actions, claims, liabilities, demands, damages, losses, or expenses (including reasonable attorneys’ and investigative expenses) relating to or arising out of (i) the manufacture, use, lease, sale, or other disposition of a Licensed Product; or (ii) the assigning or sublicensing of Company’s rights under this Agreement.
Company’s Release. The Company Releasees hereby releases and forever discharges the Executive, and his respective heirs, dependents, executors, administrators, legal representatives, successors and assigns from any Claims whether known or unknown, which the Company Releasees, ever had, now has, or hereafter can, shall or may have against the Executive upon or by reason of any fact, matter, cause or thing whatsoever, from the beginning of the world through the date hereof arising out of any association between the Executive and the Company Releasees or any of them.
Company’s Release. In consideration of and except for the promises and covenants set forth in this Agreement, the receipt and sufficiency of which are hereby acknowledged, the Company, on behalf of itself, its Affiliates, benefit plans, subsidiaries, departments, directors, officers, stockholders, employees, representatives, agents, attorneys, successors and assigns, hereby releases, waives and discharges forever any and all charges, complaints, demands, claims, promises, agreements, controversies, actions, causes of actions, covenants, contracts, damages and demands of any nature whatsoever, known or unknown, whether legal, equitable, regulatory or otherwise, that the Company ever had, now has or may assert against Executive or his past, present and future heirs, executors, administrators, attorneys, successors and assigns, including without limitation, all claims, to the fullest extent allowable by law arising out of or relating to Executive’s business relationship and/or employment relationship with the Company, under federal, state or local laws.
