Co-Investment Units Sample Clauses

Co-Investment Units. Each Co-Investment Unit shall have the terms set forth in the Co-Investment Unit Certificate attached as EXHIBIT A hereto.
Co-Investment Units. Promptly following the consummation of a Business Combination (as such term is defined in the Registration Statement), each of the Private Investors purchasing Co-Investment Units shall deliver to the Escrow Agent certificates representing such Private Investor's respective Escrow Co-Investment Units, if any, purchased pursuant to the Warrant and Unit Subscription Agreement, which certificates shall remain in the name of such Private Investor, to be held and disbursed subject to the terms and conditions of this Agreement. Each Private Investor acknowledges that the certificates representing such Private Investor's Escrow Co-Investment Units are legended to reflect the deposit of such Escrow Securities under this Agreement.
Co-Investment Units. Effective as of December 6, 2012 and subject to Employee’s execution of the Subscription Agreement (including obtaining any required spousal consents), Employee shall purchase the number of Common Units (the “Co-investment Units”) set forth in Exhibit A at a price per Common Unit of $1,000 pursuant to the terms of the Subscription Agreement. Subject to Employee’s execution of the Promissory Note, Company shall loan Employee the amount set forth in Exhibit A, which shall be used to purchase the Co-investment Units, and shall be evidenced by and governed by the terms of the Promissory Note.
Co-Investment Units. Holdings agrees to repurchase, redeem and/or cancel Executive’s equity investment (Class A Units) of $220,000 for an amount equal to $275,000, less any and all applicable federal, state and local withholding taxes. Hilton and/or Holdings will take such further actions as may be necessary or desirable to effectuate the foregoing. Such amount shall be paid to Executive no later than ten (10) days after the Effective Date.
Co-Investment Units. Each Unit of the Co-Investment Units shall consist of one Share and one Co-Investment Warrant and shall have the terms set forth in the Co-Investment Unit Certificate attached as EXHIBIT A hereto.

Co-Investment Units. If the Co-Investment right set forth herein is validly exercised, (i) the Co-Investment Shares that are issued to the Co-Investor(s) will be identical to the Class A Shares included in the Public Units being sold to investors in the Company’s IPO, except that the Co-Investment Shares will be subject to transfer restrictions and certain registration rights, as described in the Subscription Agreement and (ii) the Co-Investment Warrants that are issued to the Co-Investors will be identical to the Warrants included in the Public Units sold to investors in the Company’s IPO and and will be subject to the terms and conditions of the Warrant Agreement (it being agreed that each Co-Investment Warrant will entitle the holder thereof to purchase one Class A Share at a price of $11.50 per share, subject to adjustment as described in the Warrant Agreement and only whole Warrants will be exercisable) and such other terms as may be agreed in connection with the consummation of a business combination. The Warrants will become exercisable upon the later of (a) 30 days after the Business Combination Closing Date and (b) 12 months after the IPO closing date, and will expire five years after the Business Combination Closing or earlier upon redemption or the liquidation of the Company, as described in the Warrant Agreement.

Related to Co-Investment Units

Placement Units Simultaneously with the Closing, Oriental Holdings Limited (“Oriental”) shall purchase from the Company, pursuant to the Subscription Agreements (as defined in Section 2.24.2 hereof) an aggregate of 247,500 units (the “Placement Units”) at a purchase price of $10.00 per Placement Unit in a private placement (the “Private Placement”). The Placement Units, the Ordinary Shares, the Rights included in the Placement Units (the “Placement Rights”), the Warrants included in the Placement Units (the “Placement Warrants”) and the Ordinary Shares underlying the Placement Rights and the Placement Warrants are hereinafter referred to collectively as the “Placement Securities.” Each Placement Unit shall be identical to the Units sold in the Offering except that the Placement Warrants shall be non-redeemable by the Company and may be exercised for cash or on a cashless basis, as described in the Prospectus, in each case so long as the Placement Warrants continue to be held by the initial purchasers of the Placement Warrants or their permitted transferees (as described in the Subscription Agreement and the Warrant Agreement (as defined in Section 2.22 hereof)). There will be no placement agent in the Private Placement and no party shall be entitled to a placement fee or expense allowance from the sale of the Placement Securities.
Subsequent Investment The Company and the Buyers agree that, upon the filing by the Company of the Registration Statement to be filed pursuant to the Registration Rights Agreement (the "Filing Date"), the Buyers shall purchase additional Notes (the "Filing Notes") in the aggregate principal amount of One Million Dollars ($1,000,000) and additional warrants (the "Filing Warrants") to purchase an aggregate of 1,666,667 shares of Common Stock, for an aggregate purchase price of One Million Dollars ($1,000,000), with the closing of such purchase to occur within two (2) days of the Filing Date; provided, however, that the obligation of each Buyer to purchase the Filing Notes and the Filing Warrants is subject to the satisfaction, at or before the closing of such purchase and sale, of the conditions set forth in Section 7. The Company and the Buyers further agree that, upon the declaration of effectiveness of the Registration Statement to be filed pursuant to the Registration Rights Agreement (the "Effective Date"), the Buyers shall purchase additional notes (the "Effectiveness Notes" and, collectively with the Filing Notes, the "Additional Notes") in the aggregate principal amount of One Million Dollars ($1,000,000) and additional warrants (the "Effectiveness Warrants" and, collectively with the Filing Warrants, the "Additional Warrants") to purchase an aggregate of 1,666,667 shares of Common Stock, for an aggregate purchase price of One Million Dollars ($1,000,000), with the closing of such purchase to occur within two (2) days of the Effective Date; provided, however, that the obligation of each Buyer to purchase the Additional Notes and the Additional Warrants is subject to the satisfaction, at or before the closing of such purchase and sale, of the conditions set forth in Section 7; and, provided, further, that there shall not have been a Material Adverse Effect as of such effective date. The terms of the Additional Notes and the Additional Warrants shall be identical to the terms of the Notes and Warrants, as the case may be, to be issued on the Closing Date. The Common Stock underlying the Additional Notes and the Additional Warrants shall be Registrable Securities (as defined in the Registration Rights Agreement) and shall be included in the Registration Statement to be filed pursuant to the Registration Rights Agreement.
Membership Units The Company is initially organized with One (1) class of Membership Interests, designated in Units, which Units are initially the only class of equity in the Company. The Units shall have no par value and shall be of a single class with identical rights. The Company shall have a first lien on the Units of any Member for any debt or liability owed by such Member to the Company. Additional and different classes of Membership Interests represented by different Units may be created and issued to new or existing Members on such terms and conditions as the Governors may determine. Such additional and different classes may have different rights, powers and preferences (including, without limitation, voting rights and distribution preferences), which may be superior to those of existing Members. Members shall have no preemptive rights to acquire additional or newly created Units.
Consideration Shares As of the Closing, all of the Consideration Shares shall be duly authorized, validly issued, fully paid and nonassessable, and not issued in violation of any preemptive or similar rights. Upon delivery to the Sellers of the certificates representing the Consideration Shares, the Sellers will acquire good and valid title to such Consideration Shares, free and clear of any Encumbrances, other than restrictions under applicable securities laws.
Class B Units The Schedule of Members sets forth the identity of all Class B Members and the number of Class B Units held by each Class B Member. Unless the Company otherwise consents, Class B Units shall only be issuable to SunEdison and Controlled Affiliates of SunEdison from and after the Effective Date. Upon the Exchange contemplated in any Exchange Election, the Class B Units covered by such Exchange Election shall be exchanged for Exchange Shares pursuant to the Class B Exchange Agreement and this Agreement and, in connection with such Exchange, reclassified as Class A Units. The Class B Units shall rank pari passu with, and have all the same rights (including the rights to share in Net Income and Net Loss or items thereof and distributions made in accordance with Article IV) and be subject to all of the same obligations, as the Class A Units. In no event may Class B Units be Transferred unless the Transferor also Transfers to the same Transferee an equal number of shares of Class B Common Stock. All Class B Units transferred by SunEdison to a Person other than a Controlled Affiliate shall be exchanged (along with a corresponding number of shares of Class B Common Stock) for Exchange Shares pursuant to the Class B Exchange Agreement.
Initial Shares The Initial Shares to be purchased by each Underwriter hereunder, in definitive form, and in such authorized denominations and registered in such names as the Representative may request upon at least forty-eight hours’ prior notice to the Company shall be delivered by or on behalf of the Company to the Representative, including, at the option of the Representative, through the facilities of The Depository Trust Company (“DTC”) for the account of such Underwriter, against payment by or on behalf of such Underwriter of the purchase price therefor by wire transfer of Federal (same-day) funds to the account specified to the Representative by the Company upon at least forty-eight hours’ prior notice. The Company will cause the certificates representing the Initial Shares to be made available for checking and packaging not later than 1:00 p.m. New York City time on the business day prior to the Closing Time (as defined below) with respect thereto at the office of the Representative, 1001 19th Street North, Arlington, Virginia 22209, or at the office of DTC or its designated custodian, as the case may be (the “Designated Office”). The time and date of such delivery and payment shall be 9:30 a.m., New York City time, on the third (fourth, if the determination of the purchase price of the Initial Shares occurs after 4:30 p.m., New York City time) business day after the date hereof (unless another time and date shall be agreed to by the Representative and the Company). The time and date at which such delivery and payment are actually made is hereinafter called the “Closing Time.”
Common Units In accordance with Section 4.1 of the Second Amended and Restated Agreement of Limited Partnership of Delek Logistics Partners, LP, as amended, supplemented or restated from time to time (the “Partnership Agreement”), Delek Logistics Partners, LP, a Delaware limited partnership (the “Partnership”), hereby certifies that (the “Holder”) is the registered owner of Common Units representing limited partner interests in the Partnership (the “Common Units”) transferable on the books of the Partnership, in person or by duly authorized attorney, upon surrender of this Certificate properly endorsed. The rights, preferences and limitations of the Common Units are set forth in, and this Certificate and the Common Units represented hereby are issued and shall in all respects be subject to the terms and provisions of, the Partnership Agreement. Capitalized terms used herein but not defined shall have the meanings given them in the Partnership Agreement. Acquisition Shares The Acquisition Shares when delivered to the Kraft Shareholders pursuant to the Acquisition shall be validly issued and outstanding as fully paid and non-assessable shares and the Acquisition Shares shall be transferable upon the books of AUGI, in all cases subject to the provisions and restrictions of all applicable securities laws.

OP Units The Elected OP Unit Percentage of the Allocated Share of Entity Value for each SPE LLC Interest or portion thereof held by a Pre-Formation Participant who is an Accredited Investor shall be distributed in the form of a number of OP Units equal to the applicable portion of such Allocated Share divided by the IPO Price.
