Change of Law or Circumstances. If it becomes, or it becomes apparent that it is or will be, unlawful or contrary to any requirement of any governmental, fiscal, monetary or other authority (whether or not having the force of law) for the Lender to give effect to its obligations under this Agreement or to fund the Loan or any part thereof in the Lender’s country of incorporation’s interbank market, the Lender shall so notify the Borrower. Upon such notification the Facility shall be cancelled. The Borrower shall forthwith repay the Loan in full together with any accumulated interest.

Change of Law or Circumstances. If it becomes unlawful for the Lender to give effect to its obligations hereunder, the Lender shall so notify the Borrower, whereupon the Facility shall be cancelled. The Borrower shall forthwith after such notification, or such longer period as the Lender may certify as being permitted by the relevant law, prepay the Loan in full together with interest accrued thereon to the date of prepayment and any other monies owing hereunder.
Change of Law or Circumstances. If it shall become unlawful or contrary to any law, regulation, treaty or official directive (whether or not having the force of law), as the case may be, in any jurisdiction applicable to the Lender for the Lender to fund any Advance or maintain the Facility or to give effect to its obligations as contemplated hereunder, the Lender may, by written notice to the Borrower, declare that the Lender’s obligations to make available any Advance or maintain the Facility shall be terminated forthwith whereupon the Borrower shall if so required pursuant to such law, regulation, treaty or official directive (a) repay forthwith or before the latest date permitted by such law, regulation, treaty or official directive all of the Advances in full together with all interest accrued up to the date of actual payment; and (b) pay forthwith all other sums owing hereunder and under this Agreement. The Facility shall be cancelled on the giving of such notice.
Change of Law or Circumstances. 7.01 Unlawfulness (Lender). If after the date hereof and prior to the end of --------------------- the Availability Period, any change in or introduction of any law, regulation or regulatory requirement or any request of any central bank, monetary, regulatory or other authority with which a Lender is bound to comply or any order of any court renders it unlawful for any Lender to give effect to or maintain its Available Commitment hereunder, such Lender shall, through the Facility Agent, deliver to the Borrower a notice (i) stating that a change or introduction or request referred to above has occurred and (ii) specifying in reasonable detail the nature of such change, introduction or request giving rise to the illegality. Upon delivery of such notice, such Lender's Available Commitment shall be reduced to zero provided always that, if requested by the Borrower, the Lenders, the Facility Agent and the Borrower shall negotiate in good faith with each other in accordance with Clause 7.03 with a view to restructuring the transactions contemplated by this Agreement on an alternative basis acceptable to the Lenders, the Facility Agent, EXIM and the Borrower which would avoid the relevant circumstances referred to above.
