Change in Organizational Structure. A. The MCO must notify and obtain written approval from ODM 180 calendar days prior to making any change in the MCO's organizational structure. For purposes of this Agreement, a change in organizational structure means a change in ownership, an acquisition, merger, or reorganization, as those terms are defined in this Agreement, as determined by ODM.
Change in Organizational Structure. The CONTRACTOR shall notify and obtain prior written approval from HCA at least one hundred and eighty (180) Calendar Days prior to the effective date of a Change in Organizational Structure. The CONTRACTOR’s request for approval must include a description of the proposed Change in Organizational Structure; the new entity’s ability to meet the requirements of this Agreement; a detailed transition plan to ensure uninterrupted services to Members and Provider payments; and any other information requested by HCA to support the CONTRACTOR’s request. HCA may approve the CONTRACTOR’s request with or without conditions, including but not limited one (1) or more of the following: (i) executing an amendment to this Agreement, (ii) participating in a readiness review conducted by HCA to ensure the new entity demonstrates readiness to perform under this Agreement, (iii) allowing for an open enrollment or disenroll without cause, or (iv) changing the auto-assignment algorithm to manage the new entity’s share of enrollment. HCA may deny the CONTRACTOR’s request if HCA determines that the Change in Organizational Structure is not in the best interest of the State or Members. If the CONTRACTOR fails to obtain prior written approval from HCA or HCA denies the CONTRACTOR’s request and the CONTRACTOR moves forward with the Change in Organizational Structure, HCA may terminate this Agreement pursuant to Section 7.6 of this Agreement.

For purposes of this Agreement, a change in organizational structure means a change in ownership, an acquisition, merger, or reorganization, as those terms are defined in this Agreement, as determined by ODM.
Change in Organizational Structure. Not change the Borrower's name, type of organization, jurisdiction of organization or other legal structure unless the Borrower shall notify the Bank in writing of any such change and provide the Bank with copies of all amendments and other organization documents in connection therewith; provided, however, that the Borrower shall be permitted to demutualize and convert the Borrower's organization structure into a stock, for-profit corporation in the manner previously disclosed in writing to the Bank without the Bank's consent.

In the event that the Board makes a change in the current Office of the President structure, which impacts on your future role in the organization, you will have the right to resign from Alcan if there is no mutually acceptable position for you in the new organization structure. You will have up to 3 months from the date of the organizational change to make the decision to resign. In this eventuality you shall be entitled to the termination provisions outlined above. CHANGE OF CONTROL/CONFIDENTIALITY/NON-COMPETITION Your current Change of Control Agreement continues to be in force. The amounts payable, if any, will be tax-equalized to Cleveland, Ohio. Furthermore, you are asked to sign the attached confidentiality and non-competitive agreement.
Change in Organizational Structure. No Obligor shall enter into any merger, consolidation, or other corporate reorganization, form a new holding company, or make any other similar change that could adversely affect the Lien on the Collateral granted pursuant hereto or Secured Parties rights and remedies with respect thereto, as determined by Secured Parties, without prior written consent by Secured Parties.
