Buyer’s Feasibility Conditions. Buyer’s obligation to purchase the Property under this Agreement shall be conditioned and contingent upon the satisfaction or waiver in Buyer’s sole and absolute discretion of Buyer’s Feasibility Conditions on or before the date that is ninety (90) days after the Effective Date (“Feasibility Period”).
Buyer’s Feasibility Conditions. Buyer’s obligation to purchase the Property under this Agreement shall be conditioned and contingent upon the satisfaction or waiver in Buyer’s sole and absolute discretion of the feasibility conditions set forth in Section 6.1 (“Buyer’s Feasibility Conditions”) on or before 5:00 p.m. Pacific Time on December 22, 2004 (“Feasibility Period”).
Buyer’s Feasibility Conditions. Buyer shall have no obligation hereunder to accomplish or participate in a Closing or accept a transfer of the Assets or own and operate the Utility System, unless: (i) Buyer has borrowed sufficient funds to remit the Purchase Price on terms satisfactory to Buyer; (ii) Buyer has reasonable assurances that it can obtain $6.5 million from the State Revolving Fund for repairs to the Utility System; (iii) Borrower has raised the sewer rate charged to the customers of the Utility System in such amount required by its lender and the State Revolving Fund to pay and perform in accordance with all bond and loan documents; (iv) Buyer has negotiated with SC DHEC a consent order for corrective measures to the Utility System satisfactory to Buyer which it is able to perform in accordance therewith; and (v) if applicable, Buyer has obtained a letter of consistency from the Council of Governments pursuant to the applicable 201/208 Plan.
