Assurances and Undertakings. 3.1 Nothing herein shall be deemed, intended or implied to constitute a sale, transfer or assignment of the Licensed Materials for Photocopying and/or Licensed Materials for Scanning to the Licensees and no rights, title and interests (whether legal or beneficial) are conveyed hereunder to the Licensees except the rights as expressly provided for under the terms of this Licence Agreement.

Assurances and Undertakings. ZTE warrants to the Company that it has the right, in accordance with the trademark law of the People’s Republic of China, to license the Licensed Trademarks to the Company. Nothing herein shall be deemed, intended or implied to constitute a sale or assignment of Licensed Trademarks to the Company and no rights are transferred hereunder to the Company except the right to use Licensed Trademarks under the terms and conditions of this Agreement. The Company shall have no right to apply for registration of any of the Licensed Trademarks or trademarks confusingly similar to any of the Licensed Trademarks, in any country of the world or aid or abet anyone else in doing so. The Company agrees, that any use of the Licensed Trademarks made by it shall inure to the benefit of ZTE. The Company agrees that any application or registration in breach of this covenant will inure to the benefit of ZTE, and agrees to assign and does hereby assign all legal and equitable rights, title and interest in and to any such xxxx and/or application and/or registrations to ZTE or a company designated by ZTE. The Company recognizes ZTE's exclusive rights in the Licensed Trademarks and will at no time question their validity or make use of them except as provided in this Agreement. The Company hereby agrees to provide to ZTE all reasonable assistance in protecting the Licensed Trademarks and not to take any action, which may impair ZTE's exclusive rights in the Licensed Trademarks. The Company shall not at any time during the term of this Agreement or at any time after its termination, either directly or indirectly, use any trademark or other name, logo, symbol or word which is similar to any Licensed Trademark. The Company shall not promote, under its own label or under the label of any other Company, any product substantially similar to any Products sold by it pursuant to the provisions hereof, except with the prior written consent of ZTE. In any country where the law requires the recording of the Company as registered user of, or as a licensee under any registration or application for any of the Licensed Trademarks, the Company shall, in good faith, cooperate fully with ZTE or a company designated by ZTE in effecting such recording, including the entry into and execution of all necessary documents and agreements.
