Approvals of Project. The Property Improvement Plan for the Project has been submitted to Lender and to all governmental authorities having jurisdiction over the Premises, and to all other necessary parties. All necessary building and other permits for commencement of the Project have or will been obtained from said parties prior to the commencement of any construction. All approvals, consents, waivers, orders, agreements, acknowledgments, authorizations, permits and licenses required under applicable laws, rules, ordinances and regulations, or required under the terms of any restriction, covenant or easement affecting the Premises, or otherwise necessary or desirable for the ownership and construction of the Project, have or will been obtained prior to the commencement of any construction (collectively, the “Project Approvals”).

Approvals of Project. Neither the approval by the Bank of the Plans and Specifications, nor any subsequent inspections or approvals of the Project during or after construction shall constitute a warranty or representation by the Bank or any of its agents as to the technical sufficiency, adequacy or safety or any structure or any of its component parts, including without limitation, any fixtures, equipment or furnishings, nor shall such approvals or inspections constitute such a warranty or representation as to the subsoil conditions or any other physical condition or feature pertaining to the Project. All acts, including any failure to act, relating to the Project by any agent, representative or designee of the Bank are performed solely for the benefit of the Bank to assure repayment of the Loan and are not for the benefit of the Borrower or the benefit of any other person.

("NASD"), the filing and recordation of the Merger Certificate as required by the NGCL, and as set forth on Schedule 2.6 of the WWNI Disclosure Schedule no filing with or notice to, and no permit, authorization, consent or approval of, any court or tribunal or administrative, governmental or regulatory body, agency or authority (a "Governmental Entity") is necessary for the execution and delivery by WWNI of this Agreement or the consummation by WWNI of the transactions contemplated hereby, except where the failure to obtain such permits, authorizations, consents or approvals or to make such filings or give such notice would not have a Material Adverse Effect on WWNI. Except as set forth in Section 2.6 of the WWNI Disclosure Schedule, neither the execution, delivery and performance of this Agreement by WWNI nor the consummation by WWNI of the transactions contemplated hereby will (i) conflict with or result in any breach of any provision of the respective Articles of Incorporation or Bylaws (or similar governing documents) of WWNI, (ii) result in a violation or breach of, or constitute (with or without due notice or lapse of time or both) a default (or give rise to any right of termination, amendment, cancellation or acceleration or Lien) under, any of the terms, conditions or provisions of any note, bond, mortgage, indenture, lease, license, contract, agreement or other instrument or obligation to which WWNI is a party or by which any of its properties or assets may be bound, or (iii) violate any order, writ, injunction, decree, law, statute, rule or regulation applicable to WWNI or any of its properties or assets, except in the case of (ii) or (iii) for violations, breaches or defaults which would not have a Material Adverse Effect on WWNI.

  • Consents and Approvals; No Violation To the knowledge of the Buyer, there is no requirement applicable to the Buyer to make any filing with, or to obtain any permit, authorization, consent or approval of, any governmental or regulatory authority as a condition to the lawful consummation by the Buyer of the transactions contemplated by this Agreement or by the Indemnification Agreement.   • Required Consents and Approvals All required consents and approvals shall have been obtained and be in full force and effect with respect to the transactions contemplated hereby and from (a) all relevant Governmental Authorities; and (b) any other Person whose consent or approval the Administrative Agent deems necessary or appropriate to effect the transactions contemplated hereby.
