Appointment of Facility Agent. (a) Each of the other Finance Parties appoints the Facility Agent to act as its facility agent under and in connection with the Finance Documents.
Appointment of Facility Agent. Each of the Lenders irrevocably appoints and authorizes the Facility Agent to take such action as facility agent on its behalf and to exercise such powers under this Agreement, the Note and the other Transaction Documents as are delegated to the Facility Agent by the terms hereof and thereof. Neither the Facility Agent nor any of its directors, officers, employees or agents shall be liable for any action taken or omitted to be taken by it or them under this Agreement, the Note or the other Transaction Documents or in connection therewith, except for its or their own gross negligence or willful misconduct.
Appointment of Facility Agent. Each Finance Party (except the Facility Agent) appoints the Facility Agent to act as its agent in connection with the Finance Documents to which the Facility Agent is a party, and authorises the Facility Agent to exercise such rights, remedies, powers and discretions as are specifically delegated to it by the terms of this Agreement and the Finance Documents, together with all reasonably incidental rights, powers and discretions. The Obligors shall be entitled to assume that the Facility Agent represents the Finance Parties (except the Facility Agent), the Reference Banks or the Majority Banks (as the case may be), and that all consents and notices given by the Facility Agent on their behalf are validly given.
Appointment of Facility Agent. Each Lender shall appoint the Facility Agent as its irrevocable agent for the purpose set forth herein, and empower the Facility Agent to exercise, on behalf of each Lender, the rights explicitly or implicitly granted under this Agreement. The Facility Agent is a financial institution capable of carrying out the duties of the Facility Agent and has duly completed its internal authorization procedure to perform its duties.
Appointment of Facility Agent. Each of the Creditors irrevocably appoints and authorizes the Facility Agent, which for the purposes of this Section 14 shall be deemed to include the Facility Agent acting in its capacity as Security Trustee pursuant to Section 14.2 to take such action as agent on its behalf and to exercise such powers under this Agreement and the other Loan Documents as is delegated to the Facility Agent by the terms of this Agreement and the other Loan Documents. Neither the Facility Agent nor any of its directors, officers, employees or agents shall be liable for any action taken or omitted to be taken by it or them under this Agreement, the Note or the Security Documents or in connection therewith, except for its or their own gross negligence or willful misconduct.
Appointment of Facility Agent. Each Lender irrevocably appoints the Facility Agent as its agent for the purposes of the Loan and the Transaction Documents and authorises the Facility Agent (whether or not by or through employees or agents) to take such action on their behalf and to exercise such rights, remedies, powers and discretions as are specifically delegated to the Facility Agent by this Agreement and the Transaction Documents, together with such powers and discretions as are reasonably incidental thereto. The Facility Agent shall not, however, have any duties, obligations or liabilities to the Lenders beyond those expressly stated in this Agreement and the Transaction Documents. The Facility Agent shall act in accordance with, and the Facility Agent’s appointment shall be on the terms set out in, Clause 24 (Facility Agent).
Appointment of Facility Agent. (a) Each Subscriber irrevocably appoints the Facility Agent to act as its agent, and as the agent of its Subscriber Affiliates from time to time, under this document, each Facility Agreement and each other Transaction Document under which the Facility Agent is expressed to act as agent of the Subscribers. The Facility Agent accepts this appointment.
Appointment of Facility Agent. Each Finance Party appoints the Facility Agent to act as its agent in connection with the Finance Documents to which the Facility Agent is a party and authorises the Facility Agent to exercise such rights, remedies, powers and discretions as are specifically delegated to it by the terms of this Agreement together with all reasonably incidental rights, powers and discretions. The Borrowers shall be entitled to assume that the Facility Agent represents the Finance Parties, the Reference Banks or the Majority Banks (as the case may be), and that all consents and notices given by the Facility Agent on its behalf are validly given.
Appointment of Facility Agent. Each Facility Beneficiary hereby irrevocably appoints the Facility Agent as its facility agent for the purposes of this Agreement and the other Facility Documents on the terms set out in this Agreement. By virtue of that appointment, each Facility Beneficiary hereby irrevocably authorises the Facility Agent (whether or not by or through employees or agents) to take such action on that Facility Beneficiary’s behalf and, if necessary or appropriate under applicable law, in that Facility Beneficiary’s name, and to exercise such rights, remedies, powers and discretions, as are specifically delegated to the Facility Agent by this Agreement and the other Facility Documents or any of them, together with such action, powers, rights, remedies and discretions as are reasonably incidental thereto.
Appointment of Facility Agent. Each Beneficiary hereby irrevocably appoints the Facility Agent as its facility agent for the purposes of this Agreement and the other Transaction Documents on the terms set out in this clause 22. By virtue of that appointment, each Beneficiary hereby irrevocably authorises the Facility Agent (whether or not by or through employees or agents) to take such action on that Beneficiary’s behalf and, if necessary or appropriate under Applicable Law, in that Beneficiary’s name, and to exercise such rights, remedies, powers and discretions, as are specifically delegated to the Facility Agent by this Agreement and the other Transaction Documents or any of them, together with such action, powers, rights, remedies and discretions as are reasonably incidental thereto.
