APPLICABLE LAW AND DISPUTE RESOLUTIONS. 10.1 A party shall not be required to perform any obligation under this Agreement if the performance of that obligation is prohibited by the laws of any governmental authority having competent jurisdiction applicable to performance of the obligation of that Party.
APPLICABLE LAW AND DISPUTE RESOLUTIONS. 7.1 The Agreement shall be made, validated, interpreted, performed, revised and terminated and the disputes shall be resolved in conformance with related Chinese laws.
APPLICABLE LAW AND DISPUTE RESOLUTIONS. The same provisions on applicable law and procedure to be followed for the resolution of disputes as those provided for in the Agreement shall apply to this Processor Agreement.
APPLICABLE LAW AND DISPUTE RESOLUTIONS. This Agreement will be governed by and construed in accordance with the laws of the State of Arizona without regard to its conflict of laws principles. The parties consent for purposes of this Agreement to jurisdiction of the courts of the State of Arizona. The parties intend to negotiate in good faith to resolve any dispute arising under this Agreement. Any disputes that the parties are unable to resolve arising out of or related to this Agreement will be submitted to binding arbitration in accordance with the rules of the American Arbitration Association which will be held in Tucson, Arizona. The prevailing party in any arbitration will be entitled to recover from the other party its reasonable attorneys’ fees and related costs and expenses incurred as a result of the arbitration, in addition to such other relief as may be granted. Judgment on such arbitration may be entered in any court of competent jurisdiction in the State of Arizona or other court having jurisdiction thereof and may be enforced in any relevant jurisdiction.
APPLICABLE LAW AND DISPUTE RESOLUTIONS. 5.1 The conclusion, validity, interpretation, performance, amendment, termination and dispute resolution of this Agreement shall be governed by the laws of the PRC.
APPLICABLE LAW AND DISPUTE RESOLUTIONS. This AGREEMENT shall be governed by and interpreted in accordance with the laws of France. Any dispute arising out of or in connection with the execution and/or interpretation of this AGREEMENT shall be subject to the exclusive jurisdiction of the Courts of Toulouse (France). Force majeure Neither party will incur any liability to the other party on account of any loss or damages resulting from any delay or failure to perform all or any part of this AGREEMENT if such delay or failure is caused by an event of force majeure as being defined by French law and courts.
