Allocations of Nonrecourse Deductions. Minimum Gain Chargeback; Qualified Income Offset. This Agreement shall be deemed to include "qualified income offset" and "minimum gain chargeback" provisions within the meaning of Treasury Regulations under Section 704(b) of the Code. Accordingly, notwithstanding any other provision of this Agreement, items of gross income shall be allocated to the Partners on a priority basis to the extent and in the manner required by such provisions. In particular, if a Limited Partner's negative Capital Account balance is below such Partner's Capital Commitment Balance, then, prior to any allocation pursuant to Section 7.2, such Partner shall be allocated items of gross income until the negative balance of such Partner's Capital Account, if any, is equal to such Partner's Capital Commitment Balance. Any special allocation of items pursuant to this Section 7.3 shall be taken into account in computing subsequent allocations pursuant to Section 7.2 so that the cumulative net amount of all items allocated to each Partner shall, to the extent possible, be equal to the amount that would have been allocated to such Partner if there had never been any special allocation pursuant to this Section 7.3.
Allocations of Nonrecourse Deductions. Nonrecourse Deductions shall be allocated to the Partners in accordance with their respective Percentage Interests. E. Allocations of Partner Nonrecourse Deductions. Partner Nonrecourse Deductions shall be allocated among the Partners in accordance with the manner in which they bear the economic risk of loss of the Partner Nonrecourse Debt creating such Partner Nonrecourse Deductions.
Allocations of Nonrecourse Deductions. Other Than Depreciation. Except as otherwise provided in Sections 7.3, 7.8, 7.9 and 7.11, all Nonrecourse Deductions of the Partnership for any Taxable Year shall be shared by the Partners in proportion to the Partners' respective Percentage Interests on the last day of such Taxable Year. The amount of Nonrecourse Deductions for each Taxable Year shall be determined in accordance with Treas. Reg. 129~1.704-2(c), and, accordingly, shall equal the excess, if any, of the net increase in the amount of Partnership Minimum Gain during such Taxable Year, as determined pursuant to Section 7.4(b) hereof, over the aggregate amount of any distributions during such Taxable Year of the proceeds of a Nonrecourse Liability that are allocable to an increase in Partnership Minimum Gain, as determined pursuant to Section 7.4(c) hereof.
Allocations of Nonrecourse Deductions. “Nonrecourse deductions,” as that term is defined in Regulations § 1.704-2(c), and “partner nonrecourse deductions,” as that term is defined in Regulations § 1.704-2(i)(2), shall be allocated as determined by the Board in accordance with Regulations § 1.704-2.

Allocations pursuant to the previous sentence shall be made in proportion to the respective amounts required to be allocated to each Partner pursuant thereto. The items to be so allocated shall be determined in accordance with Treasury Regulations Sections 1.704-2(i)(4) and 1.704-2(j)(2). This Section 5.04(b)(ii) is intended to comply with the minimum gain chargeback requirement in Treasury Regulations Section 1.704-2(i)(4) and shall be interpreted consistently therewith.

  • Timing and Amount of Allocations of Net Income and Net Loss Net Income and Net Loss of the Partnership shall be determined and allocated with respect to each Partnership Year of the Partnership as of the end of each such year. Subject to the other provisions of this Article 6, an allocation to a Partner of a share of Net Income or Net Loss shall be treated as an allocation of the same share of each item of income, gain, loss or deduction that is taken into account in computing Net Income or Net Loss.
