Acknowledgement of Grantor. (a) In order to further perfect and protect the security interests granted to the Administrative Agent under the Parent Pledge and Security Agreement, including the Parent's pledge thereunder of the Security Interests, the Parent hereby authorizes and appoints the Administrative Agent to hold on the Parent's behalf and as its agent all Collateral granted hereunder for purposes of possession and control under the Uniform Commercial Code or other applicable law.
