2005 Audited Financial Statements. (i) the Company's audited consolidated financial statements for the fiscal year ended December 31, 2005 shall reflect total assets of less than $290,000,000; (ii) historical Consolidated EBITDA for the 2005 fiscal year calculated from such financial statements shall be less than $95,000,000; or (iii) the opinion of the Independent Auditor on such financial statements shall not be unqualified, other than to the extent permitted by Section 7.1(a).

2005 Audited Financial Statements. Each Company Entity shall furnish within 90 days after the end of such fiscal year to each of the Buyers with copies of (a) the final audited consolidated financial statements for the Company Entities for the fiscal year ending December 31, 2005, and (b) any drafts of the foregoing submitted to their respective boards of directors (or the Audit Committee thereof) for review.
2005 Audited Financial Statements. The Company shall use its commercially reasonable best efforts to prepare and cause the Accountants to audit and deliver an unqualified report on the 2005 Audited Financial Statements as promptly as reasonably practicable. The Buyer recognizes that the 2005 Audited Financial Statements will reflect the divestitures of CRS, EMS and International IVS and the sale of the EMS Adjacent Property in accordance with GAAP and agrees that differences between the 2005 Audited Financial Statements and the financial statements set forth on Schedule 6.12 by reason of the fact that the financial statements set forth on Schedule 6.12 may have been adjusted to include or exclude as appropriate financial information related to CRS, EMS, International IVS or the EMS Adjacent Property or may have reflected anticipated costs or savings expected to result from such divestitures or the related restructurings, shall not constitute a Material Adverse Effect. It is agreed and understood that the adjustments expected to result from such divestitures and restructurings and which will not be reflected in the 2005 Audited Financial Statements are (a) an approximately $7.0 million expense run rate reduction adjustment and (b) an approximately $1.0 million of positive EBITDA related to the divestiture of International IVS. Additionally, it is agreed and understood that any adjustment which may result from the audit of the Company's 2005 Financial Statements related to the portion of software development costs that are capitalized in accordance with GAAP, will not be considered as a material change.
2005 Audited Financial Statements. Flamingo shall use its commercially reasonable efforts to deliver to Buyers at Closing stand-alone audited balance sheets, statements of income, and cash flow statements relating to the Business operated at the Casino Property as of December 31, 2005 (the “Audited Financial Information”). The Audited Financial Information shall be prepared in accordance with generally accepted accounting principles in effect at the time of such preparation applied on a consistent basis throughout the period involved (except as may be indicated in the notes to such financial statements) and will fairly present, in all material respects, the consolidated financial position and results of operations of the Casino Property as of such date, subject to normal recurring year-end audit adjustments. Buyer shall cooperate with Flamingo and Deloitte & Touche as may be reasonably requested by Flamingo or Deloitte & Touche in connection with the preparation of the Audited Financial Statements. All costs that would not have been incurred by Flamingo but for its obligation to prepare the Audited Financial Statements hereunder shall be borne solely by the Buyers.
2005 Audited Financial Statements. At least two (2) business days prior to the Closing, Parent shall have received the consolidated balance sheet for the Company as of December 31, 2005 and the related consolidated statements of income, shareholder’s equity and cash flows of the Company for the twelve (12) month period ended December 31, 2005 (the “2005 Audited Financial Statements”), which shall have been prepared in accordance with GAAP on a basis consistent with the Company’s past application of GAAP to the preparation of its financial statements, and which shall be audited and accompanied by an unqualified accountants’ opinion and consent in form and substance sufficient to satisfy the rules and regulations of the SEC in respect thereof.

  • Audited Financial Statements The Audited Financial Statements (i) were prepared in accordance with GAAP consistently applied throughout the period covered thereby, except as otherwise expressly noted therein; (ii) fairly present the financial condition of the Borrower and its Subsidiaries as of the date thereof and their results of operations, cash flows and changes in shareholder’s equity for the period covered thereby in accordance with GAAP consistently applied throughout the period covered thereby, except as otherwise expressly noted therein; and (iii) show all material indebtedness and other liabilities, direct or contingent, of the Borrower and its Subsidiaries as of the date thereof, including liabilities for taxes, material commitments and Indebtedness.

  • Unaudited Financial Statements The Acquiring Portfolio shall furnish to the Target Portfolio within ten (10) business days after the Closing Date, an unaudited statement of assets and liabilities and the portfolio of investments and the related statements of operations and changes in net assets as of and for the interim period ending on the Closing Date; such financial statements will represent fairly the financial position and portfolio of investments and the results of its operations as of, and for the period ending on, the dates of such statements in conformity with generally accepted accounting principles applied on a consistent basis during the period involved and the results of its operations and changes in financial position for the periods then ended; and such financial statements shall be certified by the Treasurer of the Acquiring Portfolio as complying with the requirements hereof.

Such Acquired Company Financial Statements shall not materially differ from the Financial Statements and, to the extent of any such differences, Seller shall provide Buyer with a reasonably detailed reconciliation of each such difference. Buyer and Seller shall share equally the reasonable expenses of KPMG in connection with its preparation of the Acquired Company Audited Financial Statements, except that Buyer’s portion of such expenses shall not exceed $300,000.00, provided Buyer does not require a substantial change in the scope of the audit described in this Agreement, in which case the $300,000.00 limit shall not apply.

The pro forma and pro forma as adjusted financial information and the related notes, if any, included in the Registration Statement, the Pricing Disclosure Package and the Prospectus have been properly compiled and prepared in accordance with the applicable requirements of the Securities Act and the Securities Act Regulations and present fairly the information shown therein, and the assumptions used in the preparation thereof are reasonable and the adjustments used therein are appropriate to give effect to the transactions and circumstances referred to therein. All disclosures contained in the Registration Statement, the Pricing Disclosure Package or the Prospectus regarding “non-GAAP financial measures” (as such term is defined by the rules and regulations of the Commission), if any, comply with Regulation G of the Exchange Act and Item 10 of Regulation S-K of the Securities Act, to the extent applicable. Except as disclosed in the Registration Statement, the Pricing Disclosure Package and the Prospectus, (a) neither the Company nor any of its direct and indirect subsidiaries, including each entity disclosed or described in the Registration Statement, the Pricing Disclosure Package and the Prospectus as being a subsidiary of the Company (each, a “Subsidiary” and, collectively, the “Subsidiaries”), has incurred any material liabilities or obligations, direct or contingent, or entered into any material transactions other than in the ordinary course of business, (b) the Company has not declared or paid any dividends or made any distribution of any kind with respect to its capital stock, (c) there has not been any change in the capital stock of the Company or any of its Subsidiaries, or, other than in the course of business, any grants under any stock compensation plan, and (d) there has not been any material adverse change in the Company’s long-term or short-term debt.
