Mutual. Each party hereby represents and warrants to the other party that:
Mutual. This Agreement shall be considered mutual. Therefore, both Parties shall be prohibited from disclosing confidential and proprietary information that is or has been shared between one another.
Mutual. Executive’s employment under this Agreement may be terminated upon the mutual written agreement of Company and Executive.
Mutual. Each Party represents and warrants that (a) it validly exists under the laws of the jurisdiction in which it was organized, (b) it has the full power, right and authority to execute and deliver this Agreement and to perform its obligations under this Agreement, (c) this Agreement once executed will constitute a legal, valid and binding agreement enforceable against it and (d) its performance of this Agreement will not conflict with any obligations it may have to any other person.
Mutual. Each party: (a) represents that it has validly entered into this MSA and has the power to do so; (b) warrants that: (i) it will comply with all binding laws, rules and regulations applicable to its activity under this MSA; and (ii) has and will maintain all necessary authority, rights, licences, consents, policies and permissions to enable it to perform its obligations under this MSA.
Mutual. Each party hereby represents and warrants to the other party that: (a) it has the legal right and authority to enter into this Agreement; (b) this Agreement forms a binding legal obligation on behalf of such party; and (c) it has the legal right and authority to perform its obligations under this Agreement and to grant the rights and licenses described in this Agreement.
Mutual. Each party represents and warrants that it has the legal power and authority to enter into and perform under this Agreement. Each party shall comply with all laws applicable to it in its performance of this Agreement.
