Agreement Enforceable. This Agreement constitutes the legal, valid and binding obligation of the Buyer enforceable against the Buyer in accordance with its terms, except as such enforceability may be limited by Insolvency Laws and except as such enforceability may be limited by general principles of equity (whether considered in a suit at law or in equity).
Agreement Enforceable. No consent, approval or other authorization of, or registration, declaration or filing with, any court or governmental agency or commission is required for the due execution and delivery of this Agreement or for the validity or enforceability thereof against Seller.

Borrower agrees that Borrower has no defenses, setoffs, counterclaims, or claims for recoupment against the indebtedness and obligations represented by the Credit Agreement, the Note, or any other Loan Document.
