Authority to Enter. Into This Agreement. Seller and the person(s) signing this Agreement on behalf of Seller, have full power and authority to incur and perform the obligations under this Agreement, all of which have been duly authorized.

Authority to Enter. The Commission (and other State designees) engaged in compliance monitoring and evaluation shall have the authority to enter any site or premises subject to regulation or to review and copy the records of relevant program operations where such records are kept.
Authority to Enter into the Agreement By signing the agreement, EPA, and Progressive Insurance acknowledge and agree that they have the respective authorities and resources to enter into this agreement and to implement applicable provisions of this Project, as described in this document.

Purchaser has full right, authority, power and capacity: (i) to enter into this Agreement and each closing document to be executed and delivered by or on behalf of Purchaser pursuant to this Agreement; and (ii) to carry out the transactions contemplated hereby and thereby. This Agreement and the closing documents executed and delivered by or on behalf of Purchaser constitute, or when executed and delivered will constitute, the legal, valid and binding obligation of Purchaser, each enforceable against Purchaser in accordance with their respective terms, except as the same may be limited or affected by bankruptcy, insolvency, fraudulent conveyance, reorganization, moratorium or similar laws affecting creditor's rights and remedies generally, or by equitable principles, including principles of commercial reasonableness, good faith and fair dealing (whether applied in a proceeding at law or in equity). To Purchaser's actual knowledge, the execution, delivery and performance of this Agreement and the closing documents does not and will not violate any term, conditions or provisions of or constitute a default under any bond, note or other evidence of indebtedness or any contract, lease or other instrument, to which Purchaser is a party or requires Purchaser to obtain any approval, consent or waiver of, or make any filing with, any person or authority (governmental or otherwise) that will not be obtained or made prior to the Closing.

This Contract The Sub-Recipient/Contractor assures that it possesses legal authority to enter into the Contract; and the authority to file project plans, including all understandings and assurances contained therein, and directing and authorizing the person identified as the official representative of the Sub-Recipient/Contractor to act in connection with the Contract and to provide such additional information as may be required.

The individuals signing the Agreement have the authority to act as agents of their respective organizations. Each party acknowledges that they have read this Agreement and will abide by it.

If the Client is a corporation, the signatory on the Client’s behalf represents that the execution and delivery of this Agreement and Application have been duly authorized by appropriate corporate action . The Client undertakes to advise BHIMI of any event that might affect this authority or the propriety of this Agreement or Application .
Authority to Enter into Agreement - Lessor covenants that Lessor is seized of good and sufficient title and interest to the Demised Premises and has full authority to enter into and execute this Agreement.
Authority to Enter. INTO THIS AGREEMENT -------------------------------------- The Sellers have the right, corporate power, capacity and authority to enter into this Agreement and to perform and consummate the transactions contemplated therein. No prior authorization, consent or approval of, or notification to, any other person or any domestic, foreign, international or supranational jurisdiction or regulatory body or any workers' council or union is required prior or after the execution and delivery of this Agreement, under any agreement, law, regulation court decision, arbitrage award or other legal requirement. The execution and delivery of this Agreement has been duly authorized by the Sellers's boards of directors and no further corporate action is necessary. All persons who execute this Agreement and the Disclosure Letter and all attachments, schedules, financial statements and other documents delivered on behalf of the Sellers have been duly authorized by all necessary corporate action of the Sellers. Attached in Section 8.6. of the Disclosure Letter is a true and complete copy of all supporting documents.
