Annual Report of Assessment of Compliance with Servicing Criteria. (a) The Servicer shall cause a firm of independent certified public accountants, who may also render other services to the Servicer, the Depositor or their Affiliates, to deliver to the Issuing Entity, the Indenture Trustee and the Owner Trustee on or before March 15 of each year, beginning March 15, 2016 (or if such day is not a Business Day, the next succeeding Business Day), a report (the “Report of Assessment of Compliance with Servicing Criteria”) delivered to the Board of Directors of the Servicer and to the Indenture Trustee and the Owner Trustee that satisfies the requirements of Rule 13a-18 or Rule 15d-18 under the Exchange Act and Item 1122 of Regulation AB, as applicable, on the assessment of compliance with Servicing Criteria with respect to the prior calendar year. The certificates and reports referred to in Section 4.01(a), Section 4.01(b) and this Section 4.02(a) shall be delivered within 120 days after the end of each calendar year if the Issuing Entity is not required to file periodic reports under the Exchange Act or any other law, beginning April 30, 2017.

Annual Report of Assessment of Compliance with Servicing Criteria. The Master Servicer shall cause a firm of independent certified public accountants, who may also render other services to the Master Servicer, to deliver to the Issuer on or before March 20 of each year, beginning March 20, 2007, a report (the “Report of Assessment of Compliance with Servicing Criteria”) delivered to the Board of Directors of the Master Servicer that would satisfy the requirements of Rule 13a-18 or Rule 15d-18 under the Exchange Act and Item 1122 of Regulation AB, as applicable, on the assessment of compliance with the applicable Servicing Criteria listed on Exhibit B hereto with respect to the prior calendar year (and the Issuer shall deliver a copy of such report to the Indenture Trustee promptly upon receipt, but no later than March 20 of each year, beginning March 20, 2007); provided, however, that the Master Servicer shall not be required to deliver a Report of Assessment of Compliance with Servicing Criteria with respect to any year for which the Issuer is not filing an annual report on Form 10-K pursuant to the Exchange Act.

With respect to the prior calendar year, the certificates and reports referred to in Section 2.16(a), Section 2.16(b) and this Section 2.17(a) shall be delivered within 120 days after the end of each calendar year if COLT is not required to file periodic reports under the Exchange Act or any other law, beginning April 30, 2009.
