43. Principal Prepayments" shall have the meaning set forth in Section 2.07(a) of this Credit Agreement.
43. “Percentage” means for any Lender its Revolver Percentage and each Term Loan Percentage, as applicable; and where the term “Percentage” is applied on an aggregate basis, such aggregate percentage shall be calculated by aggregating the separate components of the Revolver Percentage and each Term Loan Percentage, and expressing such components on a single percentage basis. “Permitted Acquisition” means any Acquisition in a line of business related to that of the Parent and its Subsidiaries with respect to which all of the following conditions shall have been satisfied: (a) the Board of Directors or other governing body or the holders of 100%, or such other percentage as may be required by the applicable governing documents, of the equity interests of the Person whose Property, or Voting Stock or other interests in which, are being so acquired has approved the terms of such Acquisition; and (b) after giving effect to such Acquisition and any Credit Event in connection therewith, no Default or Event of Default shall exist, including with respect to the financial covenants contained in Sections 7.15 and 7.16 hereof on a pro forma basis and, in the case of a Material Acquisition, the Parent shall have delivered to the Administrative Agent evidence reasonably satisfactory to the Administrative Agent (which evidence shall be substantially in the form of a Compliance Certificate or such other form reasonably satisfactory to the Administrative Agent) certifying to the foregoing; provided that with respect to a Limited Condition Acquisition, such requirements shall be subject to the provisions of Section 4.4 hereof. “Permitted Adjustments” means, for any period, and without duplication, (i) cash and non-cash restructuring expenses incurred by the Parent or any Restricted Subsidiaries during such period that are directly attributable to identified restructuring initiatives, to the extent such cash restructuring charges do not exceed $100,000,000 in the aggregate for all periods from and after April 1, 2016, (ii) deferred commissions earned and received in cash by any Person acquired pursuant to an Acquisition (net of commissions payable) for transactional activity, to the extent such activity was completed prior to the acquisition of such Person by the Parent or a Restricted Subsidiary and not previously recognized as revenue by the Parent or its Restricted Subsidiaries, not to exceed $50,000,000 for any four consecutive fiscal quarter period or $100,000,000 in the ag...

Environmental Laws" shall mean any Governmental Requirement pertaining to health or the environment, including, but not limited to, CERCLA, the Toxic Substances Control Act, the Clean Water Act, the Safe Drinking Water Act or the Clean Air Act, the Resource Conservation and Recovery Act of 1976, the Texas Water Code, the Texas Solid Waste Disposal Act and the Texas Clean Air Act, each as amended from time to time.
