REPRESENTATION AND WARRANTIES OF BUYER from Asset Purchase Agreement

This ASSET PURCHASE AGREEMENT (the Agreement), dated as of January 4, 2017, is entered into by and among Patriot Bioenergy Corporation, a Kentucky corporation, (the Seller''), and Real Estate Contacts, Inc. (REAC), a Florida corporation (the Buyer'').

REPRESENTATION AND WARRANTIES OF BUYER. 4. Buyer represents and warrants to Seller as follows: 4.1. Organization and Standing. Buyer is a Florida corporation. Buyer through its authorized representative has all necessary power and authority to carry on the Business as it is now being conducted, to own or use the properties and assets it purports to own or use, and to execute and deliver this Agreement and other instruments referred to herein and to perform its obligation thereunder. 4.2. Power and Authority. Buyer has all requisite power and authority, and has taken all action necessary, to execute and deliver this Agreement and the other instruments referred to herein, to consummate the transactions contemplated hereby and to perform its obligations hereunder. Each of the documents and other such instruments have been duly authorized, executed and delivered by the Buyer and constitute the legal, valid and binding obligations of the Buyer enforceable against the Buyer in accordance with the terms.
