Xxxxxxx Electronics Group means Xxxxxxx Electronics and each Person that is a direct or indirect Subsidiary of Xxxxxxx Electronics immediately after the Effective Time, and each Person that becomes a Subsidiary of Xxxxxxx Electronics after the Effective Time, and shall include the Xxxxxxx Electronics Business Units.

Examples of Xxxxxxx Electronics Group in a sentence

  • All cash and cash equivalents held by a member of the Xxxxxxx Electronics Group as of the Effective Time will be a Xxxxxxx Electronics Asset and all cash and cash equivalents held by any member of the Xxxxxxx International Group as of the Effective Time will be a Xxxxxxx International Asset.

  • Commencing as of the Effective Time, Xxxxxxx Electronics shall be responsible for establishing and maintaining a separate insurance program with commercially reasonable limits, deductibles, self-retentions for activities and claims involving any member of the Xxxxxxx Electronics Group.

  • Each member of the Xxxxxxx Electronics Group, as appropriate, shall be responsible for all administrative and financial matters relating to the Policies established and maintained by the members of the Xxxxxxx Electronics Group for claims relating to any period at or after the Effective Time involving any member of the Xxxxxxx Electronics Group.

  • Xxxxxxx International will transfer and assign (or cause another member of the Xxxxxxx International Group to transfer and assign) to a member of the Xxxxxxx Electronics Group all rights to seek contribution or damages from any applicable third party (such as a third party who aggravates an injury to a worker who makes a workers’ compensation claim) with respect to any workers’ compensation claim for which Xxxxxxx Electronics is responsible pursuant to this Article X.

  • Xxxxxxx Electronics will continue to apply the same leave of absence policies applicable to inactive Xxxxxxx Electronics Group Employees who are on an approved leave of absence as of the Effective Time.

  • Furthermore, unless expressly provided for in this Agreement or the Distribution Agreement or required by applicable Law, no provision in this Agreement shall be construed to create any right to accelerate vesting, distribution of benefits or entitlements to any compensation or under any Benefit Plan on the part of any Xxxxxxx International Group Employee, Former Xxxxxxx International Group Employee, Xxxxxxx Electronics Group Employee or Former Xxxxxxx Electronics Group Employee.

  • AUM increased $6.9 billion between September 30, 2003 and September 30, 2004.

  • Xxxxxxx International shall have sole responsibility for the administration of the Xxxxxxx International SERP and the payment of benefits thereunder to or on behalf of Xxxxxxx International Group Employees, Former Xxxxxxx International Group Employees, and Former Xxxxxxx Electronics Group Employees, and no member of the Xxxxxxx Electronics Group shall have any liability or responsibility therefor.

  • Xxxxxxx Group means (i) any member of the Xxxxxxx Family, (ii) Xxxxxxx Energy Partners I, LP and SEP Management I, LLC, (iii) Xxxxxxx Parent, (iv) Xxxxxxx Investor, (v) Xxxxxxx Production Partners LP, (vi) Xxxxxxx Oil & Gas Corporation, (vii) Blackstone Newco and (viii) any Person Controlled by any one or more of the foregoing (other than the General Partner, the Partnership or any of their respective Subsidiaries).

  • Xxxxxx Group shall have the meaning set forth in Section 9.2(b) hereof.

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • COVID-19 means SARS-CoV-2 or COVID-19, and any evolutions or mutations thereof or related or associated epidemics, pandemic or disease outbreaks.

  • MPI means the Borrower’s Ministry of Planning and Investment, and any successor thereto.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Brands means the Sprint PCS Brands and the Sprint Brands.

  • GCP means the Good Clinical Practices officially published by EMA, FDA and the International Conference on Harmonisation of Technical Requirements for Registration of Pharmaceuticals for Human Use (ICH) that may be in effect from time to time and are applicable to the testing of the Compounds.

  • MPC means Marathon Petroleum Corporation, a Delaware corporation.

  • OPC has the meaning specified in the recital of parties to this Agreement.

  • Honeywell has the meaning set forth in the preamble.
