Xxxx Entities definition

Xxxx Entities means the members of the Xxxx Group (as defined in the Master Separation Agreement).

Xxxx Entities means Xxxxx XxXxxxxx, Xxxx Fabrics Corporation, Western Avenue Dyers L.P., Tyng Textiles LLC and any other Affiliate of Xxxxx XxXxxxxx (or any of his immediate family members, related family trusts, heirs and descendants).

Xxxx Entities means Xxxx Corporation, a Virginia corporation, its Subsidiaries and affiliates, together with their respective successors and assigns, including, without limitation any debtor-in-possession or any bankruptcy trustee acting on any of their behalf in connection with the Xxxx Bankruptcy Proceedings.

Examples of Xxxx Entities in a sentence

• Parent, Xxxx and the other Xxxx Entities shall cooperate with respect to any notification to appropriate governmental agencies and the issuance of new, or the transfer of existing, workers’ compensation insurance policies and claims handling contracts.

• Parent and Xxxx shall, and shall cause the other Parent Entities and the other Xxxx Entities to, respectively, take such action as may be reasonably necessary or appropriate in order to minimize Liabilities related to payroll taxes after the A/L Split Date.

• Parent and Xxxx shall, and shall cause the other Parent Entities and the other Xxxx Entities to, respectively, each bear its responsibility for payroll tax obligations and for the proper reporting to the appropriate governmental authorities of compensation earned by their respective employees after the A/L Split Date, including compensation related to the exercise, vesting, settlement or disposition of, or other taxable event relating to, Equity Awards.

• Subject to entry of the Approval Order, the Xxxx represents and warrants that (i) it has the power and authority to execute this Settlement Agreement on behalf of the Xxxx Entities, without obtaining the consent or approval of any other person or entity; and (ii) this Settlement Agreement has been duly authorized, executed and delivered by the Xxxx Entities and is enforceable against the Xxxx Entities in accordance with its terms.

• The Xxxx Contributors and their respective partners are, collectively, the owners of one-hundred (100%) percent of their respective partnership, limited liability company and/or other ownership interests in and to the Xxxx Entities (to the extent any of the Xxxx Entities are contributed to CRLP by assignment of partnership interest as is contemplated by Section 1.2 hereof, such Xxxx Entities are hereinafter referred to as the “Contributed Entities”).

Xxxx Entities means each Xxxx Party and any Person controlled, directly or indirectly, by any Xxxx Party or combination of Xxxx Parties other than the Partnership Entities; and "Xxxx Entity" means any of the Xxxx Entities.

Xxxx Entities means, collectively, unless the context clearly indicates otherwise, Loveland Hills, CT Adult, Watertown, New Milford, and East Windsor.

Xxxx Entities means Xxxx Corporation, a Virginia corporation, its subsidiaries and affiliates, together with their respective successors and assigns, including, without limitation any debtor-in-possession or any bankruptcy trustee acting on any of their behalf in connection with the Xxxx Bankruptcy Proceedings." "Xxxx Supply Agreements" those certain agreements by and among any one or more of the Obligors on the one hand and any one or more of the Xxxx Entities on the other hand, as each such agreement is amended, restated, replaced or otherwise modified from time to time.

Xxxx Entities means Xxxx Capital Partners, L.P., Xxxx Strategic Partners II, L.P., Xxxx Strategic Partners II GmbH & Co. KG, Xxxxxxx Capital Partners II, L.P. and RCBA-KCI Capital Partners, L.P. and their respective Affiliates.

Xxxx Entities means the 1031 Debtors; Investment Properties of America ("IPofA"); any entity that was directly or indirectly owned, controlled, or managed, in whole or in part, by Xxxxxx Xxxx or Xxxxxx Xxxxxx; and any and all present or former subsidiaries, parents, successors, predecessors, representatives, affiliates, members, related companies, or assigns of any 1031 Debtor, IPofA, or any entity that was directly or indirectly owned, controlled, or managed, in whole or in part, by Xxxxxx Xxxx or Xxxxxx Xxxxxx.

Xxxx Entities has the meaning set forth in the recitals hereto.
