Vested Company Options definition

Vested Company Options means any Company Options that are vested under the terms of any Contract with the Company as of immediately prior to the Effective Time (including any stock option agreement).

Vested Company Options means the portion of all Company Options that is or may become vested prior to the Closing.

Vested Company Options means any Company Options that are vested as of the Effective Time, including any such Company Option the vesting of which accelerates at or prior to the Effective Time.

Examples of Vested Company Options in a sentence

• For Tax purposes, if the Earn-Out Consideration is paid to recipients other than the holders of Vested Company Options and Vested Company RSUs, it shall be treated as an adjustment to the Closing Consideration, unless a contrary treatment is required by Law.

• No Vested Company Options shall be assumed or continued by Parent or the Company in connection with the Merger or the other transactions contemplated hereby.

• For the avoidance of doubt, it is the intent of the parties that such payments will be made, if at all, in any event within the period required by Section 1.409A-3(i)(5)(iv)(A) for payments to holders of Vested Company RSUs and Vested Company Options.

• It is acknowledged that, in accordance with the terms of the Equity Plans, each holder of the Vested Company Options has a contractual right to receive a pro rata portion of the Aggregate Consideration and Post-Closing Payments as if the Vested Company Options had been exercised and Ordinary Shares had been issued, but in all cases less the aggregate exercise price that would have been payable in respect of such issuance.

• The Company’s contractual obligation to ensure the holders of Vested Company Options receive the consideration set-out above shall be satisfied upon payment of the consideration set-out in this Merger Agreement and the Distribution Waterfall.

More Definitions of Vested Company Options

Vested Company Options means any options to purchase shares of Company Common Stock that, immediately prior to the Closing Date, are outstanding and vested.

Vested Company Options means, as of immediately prior to the Effective Time (after giving effect to any acceleration resulting from or in connection with the Merger), all Company Options to the extent they are (i) then vested and exercisable and (ii) have an exercise price per share less than the Residual Per Share Amount.

Vested Company Options means options to purchase or otherwise acquire shares of Common Stock, granted pursuant to the Company Incentive Compensation Plan, that are vested and exercisable as of the Closing.

Vested Company Options means Company Options that are not Unvested Company Options. Other capitalized terms defined elsewhere in this Agreement and not defined in this ARTICLE 1 shall have the meanings assigned to such terms in this Agreement.

Vested Company Options means Company Options (or portions thereof) that are vested as of immediately prior to the Effective Time.

Vested Company Options means Company Options which are currently vested as of two (2) Business Days prior to the Closing Date.

Vested Company Options means all Company Options that are vested (and have not been exercised) immediately prior to the Effective Time (after giving effect to any vesting acceleration provisions).
