Vendor Financing Agreement definition

Vendor Financing Agreement means any agreement pursuant to which the Company or any of its Restricted Subsidiaries incurs, or may incur, Vendor Financing Debt (including any renewals, refinancings, extensions or replacements of such Vendor Financing Debt), to the extent that the aggregate principal balance of Vendor Financing Debt that is Incurred and outstanding under all Vendor Financing Agreements at any time does not exceed $850,000,000."
