Unrestricted Note definition

Unrestricted Note means any Unrestricted Definitive Note or Unrestricted Global Note.

Unrestricted Note means either an Unrestricted Definitive Note or an Unrestricted Global Note.

Unrestricted Note means a Note that is not a Transfer Restricted Note.

More Definitions of Unrestricted Note

Unrestricted Note means Definitive Notes and any other Notes that are not required to bear, or are not subject to, the Restricted Notes Legend or the Regulation S Legend.

Unrestricted Note means any Note represented by the Unrestricted Global Note.

Unrestricted Note means a Note (i) effectively registered under the Securities Act and disposed of in accordance with a registration statement with respect to such series or (ii) distributed to the public pursuant to Rule 144 under the Securities Act (or any similar provision then in force).

Unrestricted Note means a Note which is not a Transfer Restricted Note.

Unrestricted Note means any Note which does not bear the Restricted Legend.

Unrestricted Note means any Global Note or Definitive Note or interest in a Global Note or Definitive Note that is sold in reliance on Regulation S bearing the Unrestricted Note Legend but not the Restricted Note Legend substantially in the form set out in either Exhibit A or Exhibit B.

Unrestricted Note and “Unrestricted Notes” mean the Senior Secured Convertible Promissory Notes due, subject to the terms therein, twelve (12) months from the date of issuance, issued by the Company to the Purchasers hereunder, in the form of Exhibit G attached hereto and which are required to be registered under the Shelf Registration Statement.
