Unrestricted Global Certificate definition

Unrestricted Global Certificate means a Global Certificate representing Notes sold outside the United States in reliance on Regulation S; and

Unrestricted Global Certificate means a Global Certificate that is not a Restricted Global Certificate.

Unrestricted Global Certificate means the unrestricted Global Certificate in or substantially in the form set out in Part 2 of Schedule 2 to the Trust Deed.

• For the purpose of any paymentmade in respect of an Unrestricted Global Certificate, the relevant place of presentation shall be disregarded in any definition of "business day".

• If an Unrestricted Global Certificate is held under the NSS, the Issuer shall procure that details of each such payment shall be entered pro rata in the records of the relevant clearing system and in the case of payments of principal, the nominal amount of the Notes recorded in the records of the relevant clearing system and represented by such Unrestricted Global Certificate will be reduced accordingly.

• Notes offered and sold outside the United States in reliance on Regulation S will be represented by interests in an Unrestricted Global Certificate, in registered form, without interest coupons attached.

• Notwithstanding this Condition 7, so long as the Notes are represented by the Unrestricted Global Certificates, payment in respect of an Unrestricted Global Certificate will be made to the person shown as the holder in the Register at the close of business in the place of the Registrar's specified office on the Clearing System Business Day before the relevant due date for payment.

More Definitions of Unrestricted Global Certificate

Unrestricted Global Certificate means the Certificates of each Series offered and sold in reliance on Regulation S, which will be sold to persons who are not U.S. persons outside the United States, in registered form.

Unrestricted Global Certificate means a Global Certificate initially representing Certificates offered and sold in reliance on Regulation S, which will be sold to persons who are not U.S. persons outside the United States, in registered form.

Unrestricted Global Certificate means a global certificate in or substantially in the form set out in Part 2 of Schedule 2 hereto representing Securities that are registered in the name of Cede & Co. as nominee for DTC and/or a nominee for any other clearing system and which were originally offered and sold outside the United States in reliance on Regulation S;

Unrestricted Global Certificate means a Global Certificate that does not bear, and is not required to bear, the Restrictive Legend.

Unrestricted Global Certificate means a permanent global certificate in ------------------------------- the form of Exhibit A attached hereto that bears the Global Certificate Legend and that has the "Schedule of Exchanges of Interests in the Global Note" attached thereto, and that is deposited with or on behalf of and registered in the name of the Depositary, representing a series of Senior Exchangeable Preferred Stock that do not bear the Private Placement Legend.
