INSIDER TRADING: The Board of Directors of the Company have adopted the Code of Practices and Procedures for Fair Disclosure of Unpublished Price Sensitive Information.
Securities Exchange Board of India (SEBI) had promulgated the SEBI (Prohibition of Insider Trading) Regulations, 2015 amended from time to time (“PIT Regulations” or “Regulations”) the objective of which is to prevent Insider Trading by prohibiting dealing (including buying, selling, pledging or subscribing of shares), communicating, counselling, or procuring Unpublished Price Sensitive Information (UPSI) by Insiders.
The Company has in place a Code of Conduct for Prevention of Insider Trading and Code of Practices and Procedures for Fair Disclosure of Unpublished Price Sensitive Information to regulate, monitor and report trading by Insiders as prescribed under SEBI (Prohibition of Insider Trading) Regulations, 2015, as approved by the Board of Directors.
Subject to the provisions of the Regulations, no Designated Person and their immediate relative/Insider shall trade in the Securities when in possession of Unpublished Price Sensitive Information.
The trading window shall be closed when the compliance officer determines that a Designated Person or class of Designated Persons can reasonably be expected to have possession of Unpublished Price Sensitive Information.
