Ultimate Parent Group definition

Ultimate Parent Group means the Ultimate Parent and its Subsidiaries from time to time.

Examples of Ultimate Parent Group in a sentence

  • If this Guarantee ceases to be continuing for any reason whatsoever each Lender may nevertheless continue any account of any member of the Ultimate Parent Group or open one or more new accounts and the liability of each Guarantor under this Guarantee shall not in any manner be reduced or affected by any subsequent transactions or receipts or payments into or out of any such account.

  • Submitting multiple bids from the same Bidder including its Affiliates / Parent / Ultimate Parent /Group Companies shall make all the bids submitted by the group invalid.

  • That we are participating in the RfS selection process for the RfS No. that in addition to our Bid, the following companies are also separately participating in this selection process with which we have direct or indirect relationship as our Parent / Affiliate / Ultimate Parent/ Group Company.

  • The Issuer shall not, without the prior written consent of the Bond Trustee, make any Distribution other than in respect of the Excluded Transactions and transfers to the Ultimate Parent Group in accordance with Clause 2.3 (Use of proceeds).

  • The name, citizenship, business address, present principal occupation or employment and five-year employment history of each of the directors and executive officers of Ultimate Parent, Group Holdings, Overseas Holdings and Purchaser are set forth in Schedule I hereto.

  • If this Hedge Guarantee ceases to be continuing for any reason whatsoever, each Hedge Counterparty may nevertheless continue any account of any member of the Ultimate Parent Group or open one or more new accounts, and the liability of each Obligor under this Hedge Guarantee shall not in any manner be reduced or affected by any subsequent transactions or receipts or payments into or out of any such account.

  • Deeds of release in relation to each Encumbrance created by a member of the Ultimate Parent Group or any other security provider in connection with the Existing Facilities executed in escrow and to become effective upon the making of the first Utilisation hereunder in accordance with the confirmation given in 24(i) above.

  • That we are participating in the RfS selection process for the RfS No. under PART- A/B [Select any one] and that in addition to our Proposal, the following companies are also separately participating in this selection process with which we have direct or indirect relationship as our Parent / Affiliate / Ultimate Parent/ Group Company.

Related to Ultimate Parent Group

  • Ultimate Parent means a Company, which owns not less than fifty-one percent (51%) equity either directly or indirectly in the Parent and Affiliates.

  • Ultimate Parent Company means a company which owns at least twenty six percent (26%) equity in the Bidding Company or Member of a Consortium, (as the case may be) and in the Technically Evaluated Entity and/or Financially Evaluated Entity (as the case may be) and such Bidding Company or Member of a Consortium, (as the case may be) and the Technically Evaluated Entity and/or Financially Evaluated Entity (as the case may be) shall be under the direct control or indirectly under the common control of such company;

  • Ultimate Parent Entity means a Constituent Entity of an MNE Group that meets the following criteria:

  • Parent Group has the meaning set forth in Section 8.03(c).

  • Intermediate Parent means any Subsidiary of Holdings and of which the Borrower is a subsidiary.

  • Parent Companies means, collectively, (i) Charter, (ii) Charter Holdings, (iii) Charter Communications Holding Company, LLC, a Delaware limited liability company, and (iv) CCH II.

  • SAP Parent means SAP SE, a European Company (Societas Europaea, SE) established under the laws of Germany and the European Union, registered with the commercial register of the local court of Mannheim, Germany, under HRB 719915, with registered office in Walldorf, Germany, and business address at Dietmar-Hopp-Allee 16, 69190 Walldorf, Germany.

  • lone parent means a person who has no partner and who is responsible for and a member of the same household as a child or young person;

  • mixed financial holding company means a mixed financial holding company as defined in point (21) of Article 4(1) of Regulation (EU) No 575/2013;

  • Parent Guarantor has the meaning specified in the recital of parties to this Agreement.

  • DBS Group means any of DBS’s subsidiaries, DBS’s holding company and any subsidiaries of DBS’s holding company;

  • New Parent shall have the meaning assigned to such term in the definition of the term “Change in Control”.

  • Intermediate Holding Company means any Subsidiary of Holdings (of which Holdings, directly or indirectly, owns 100% of the issued and outstanding Equity Interests) that, directly or indirectly, owns 100% of the issued and outstanding Equity Interests of the Lead Borrower.

  • Parent means a “parent corporation,” whether now or hereafter existing, as defined in Section 424(e) of the Code.

  • Consolidated Group means the Borrower and all Subsidiaries which are consolidated with it for financial reporting purposes under GAAP.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • Holdings as defined in the preamble hereto.

  • Intermediate Holdco as defined in the preamble to this Agreement.

  • Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.

  • Parent Entities means, collectively, Parent and all Parent Subsidiaries.

  • Minority group member means a United States citizen or permanent resident alien who is and can demonstrate membership in one of the following groups:

  • Foreign Holding Company means any Subsidiary all or substantially all of the assets of which are comprised of Equity Interests in one or more Foreign Subsidiaries or CFC Debt.

  • Partnership Group Member means any member of the Partnership Group.

  • Company Group Member means Company or any Company Affiliate;

  • financial holding company means a financial holding company as defined in point (20) of Article 4(1) of Regulation (EU) No 575/2013;

  • Direct holdings means all publicly traded securities of a company that are held directly by the state treasurer or a retirement system in an actively managed account or fund in which the retirement system owns all shares or interests.
