TSG Entities definition

TSG Entities means investment funds affiliated with TSG Consumer Partners LLC and their respective successors, Transferees and Affiliates.

TSG Entities means TSG PF Investment LLC, TGS PF Investment II LLC, TSG PF Co-Investors A L.P. and XXX0 XXX XX-X L.P. and any other investment fund or related investment adviser, management company, managing member or general partner that is an affiliate of any of the foregoing entities (other than any Planet Fitness Entity) or that is advised by the same investment adviser as any of the foregoing entities or by an affiliate of such investment adviser.

Related to TSG Entities

  • Operating Entities means, from time to time, the Persons in which the Holding Entities, directly or indirectly, hold interests and that (i) directly hold real estate assets, or (ii) indirectly hold real estate assets but all of the interests of which are not held, directly or indirectly, by the Holding Entities, other than, in the case of each of (i) and (ii), any Person in which the Holding Entities, directly or indirectly, hold interests for investment purposes only of less than 5% of the outstanding equity securities of that Person;

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Target Companies means the Company and its Subsidiaries.

  • Company Entities means the Company and its Subsidiaries.

  • Transferred Entities means the entities set forth on Schedule 1.9.

  • Participating Entities and “Participating Entity” are defined on the Coversheet.

  • Project Companies means all Group Project Companies and Non-Group Project Companies together, each being a “Project Company”.

  • Group Companies means the Company and its Subsidiaries.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • Operating Partnership has the meaning set forth in the preamble.

  • Related Entities means contractors and subcontractors of a Party at any tier; grantees, investigators, customers, and users of a Party at any tier and their contractors or subcontractor at any tier; or, employees of the Party or any of the foregoing.

  • CCR means the California Code of Regulations.

  • Operating Subsidiaries means, collectively, the Corporation and HST, each a wholly-owned subsidiary of the Trust, and "Operating Subsidiary" means either of the Corporation or HST, as applicable.
