• Each of the Sponsor, the Operating Partnership and the Trusts is a third-party beneficiary with respect to this Agreement and may enforce its rights, to the extent set forth herein, against any party to this Agreement.

• Except as expressly provided herein, nothing herein shall be deemed to constitute a waiver by the Dealer Manager of any consent that would otherwise be required under this Agreement or applicable law prior to the use by Participating Dealer of the name or identifying marks of the Sponsor, the Operating Partnership, the Dealer Manager, “Starwood” or “SREIT” (or any combination or derivation thereof).
