Transaction Charges definition

Transaction Charges means the charges payable by you in respect of Transactions.

Transaction Charges means any transaction charge imposed for
Transaction Charges nonrecurring charges related to or arising out of (a) the transactions contemplated by the Recapitalization Agreement, the Stockholders Agreement and the Escrow Agreement, (b) the Third and Fourth Amendments to this Agreement and (c) fees and expenses incurred during the first and second quarters of 2002 in connection with a proposed refinancing and restructuring of this Agreement and the Senior Subordinated Notes and any charge associated with the Note Option Agreement.
Transaction Charges means, for any period, cash fees, costs, expenses, commissions, or other cash charges incurred during such period in connection with (i) the Transactions, (ii) the issuance of the 2022 Senior Notes and (iii) the acquisition by the Borrower of the Equity Interests of Xxxxx Printing Company pursuant to that certain Partnership Interest Purchase Agreement, dated as of April 4, 2014, among Quad/Graphics Printing Corp., Xxxxxx + Jahr Printing and Publishing Co. and the partners of Xxxxxx + Xxxx Printing and Publishing Co., including, without limitation, professional, merger and acquisitions advisory, financing, and accounting fees, costs and expenses (in the case of the foregoing clauses (i) and (ii), to the extent they are not capitalized).

For purposes of clarity and without limiting the foregoing, Transaction Charges may also include actual or estimated intra- day market gain or loss attributable in the sole determination of the Trustee to the purchase or sale of securities or other assets by a Fund in connection with any such contribution or withdrawal, and may be aggregated across contributing or withdrawing Participants, as the casemay be, on a weighted average basis for any given trading period or trading periods or on such other basis as may be determined by the Trustee in its sole discretion. The Trustee may also in its sole discretion from time to time or in particular circumstances calculate Transaction Charges for a Fund based upon the utilization of a formula based upon a pre-determined or other specified percentage or amount of the cash and/or securities or other assets that are contributed to a Fund by a Participant in a Fund or withdrawn by a Participant in such Fund. Transaction Charges may be described in a Fund Declaration, Strategy Disclosure Document or in any other communication to Participants as the Trustee may determine from time to time.
