Total First Lien Net Leverage Ratio as at the last day of any period, the ratio of (a) the excess of (i) Consolidated Total Debt on such day consisting of the sum of (x) the Term Loans, Incremental Term Loans, Permitted First Priority Refinancing Debt, Permitted Incremental Indebtedness and any other Indebtedness that is secured or to be secured by a Lien on any Collateral on a pari passu basis with the Obligations, (y) Indebtedness that was incurred pursuant to Section 6.2(b)(iv) and (z) Indebtedness secured by a first priority Lien on any other Vessel or Related Assets (in each case other than Collateral) owned by the Company or any other Restricted Subsidiary over (ii) an amount equal to the sum of (without duplication) (x) Unrestricted cash and Cash Equivalents, (y) Cash Collateral and Segregated Cash Collateral of the Company and the Restricted Subsidiaries on such date and (z) without duplication, other cash and Cash Equivalents pledged to the holders or lenders with respect to such Consolidated Total Debt pursuant to clause (a)(i)(x), (y) and (z) above, to (b) Consolidated EBITDA, calculated on a Pro Forma Basis for such period.

  • The Initial Borrower shall not, without the written consent of the Majority Revolving Lenders, permit the Total First Lien Net Leverage Ratio on a Pro Forma Basis as at the last day of any period of four consecutive fiscal quarters of the Initial Borrower (but only if the last day of such fiscal quarter constitutes a Financial Compliance Date) to exceed 5.50 to 1.00.
