Tender Costs definition

Tender Costs means the costs incurred by the Borrower in connection with any tender for outstanding indebtedness of the Borrower and the termination of the interest rate swap contracts related thereto, in an aggregate amount not to exceed $100,000,000 during the term of this Credit Agreement.
Tender Costs means the reasonable and proper costs of the Authority incurred in carrying out the Tender Process and/or in connection with any calculation of the Estimated Fair Value of the Contract;
Tender Costs means all out-of-pocket expenses paid to unaffiliated third parties including those (w) incurred by the Partnership (or by the Partners in connection with Partnership business) from time to time (including litigation related expenses), (x) incurred by Waltxx Xxxeet in connection with the Offer including legal, solicitation, mailing and printing
