NEW CONTRACT. (a) If TfNSW, in its absolute discretion, determines that it is in the public interest that the Contract Bus Services continue to be provided following the expiry of the Term, then TfNSW must notify the Operator that TfNSW proposes to enter into a further contract for the provision of the Contract Bus Services (New Contract), no later than 12 months before the expiry of the Term.
(b) If TfNSW proposes to enter into a New Contract in accordance with Clause 3.5(a), TfNSW must give the Operator a first right to negotiate the New Contract, unless:
(i) A Termination Event has occurred at any time during the Term; or
(ii) The Operator fails to satisfy the requirements of Clause 3.3(a) and accordingly the Term is not extended for the Extension Period.
