If Buyer and Seller are unable to resolve any disagreement concerning any claim for indemnification pursuant to this Section 8.05 within ten (10) business days after receipt of the applicable Statement of Objections, then Buyer and Sellers shall jointly request an independent nationally recognized auditing firm selected by the parties (the "Tax Settlement Auditor") to resolve any issue in dispute as promptly as possible and shall cooperate with the Tax Settlement Auditor to resolve such dispute.
