Call Settlement Date means, with respect to the exercise by the Company of its Call Right, any Trading Day on or after September 12, 2012 through and including the Maturity Date, subject to adjustment as provided under Section 3 hereof.

• On the Call Settlement Date, the Sponsors shall sell the Sponsor Securities to the Call Purchaser by delivery of the share certificates representing such Sponsor Securities (free and clear from all Encumbrances), together with duly endorsed forms of transfer in respect of such Sponsor Securities to the Call Purchaser; and the Call Purchaser shall pay in full the applicable Call Option Price as mentioned in the Call Option Notice to the Sponsors.
